Common use of Project Administration Clause in Contracts

Project Administration. The Cooperative shall have overall responsibility for implementing the terms of this Agreement. All the powers, privileges and dutiesvested in or imposed on the Cooperative with regard to implementation of the Project shall be exercised through the Project Board; provided, however, that the exercise of any and all executive, administrative and ministerial powers regarding the Project may be delegated by the Project Board. All decisions of the Project Board shall be by majority vote of a quorum of the Project Board using the Weighted Vote Method specified in this Agreement, which vote must include at least a majority of the Project Participants.
