Prorated Payments for Failure to Provide Supporting Time Logs. In the event that the Teaching Time Logs submitted within a quarter do not reflect that HSC-S Faculty provided the level of Teaching and Supervision Services as set forth in Schedule 1(a), payment to HSC-S will be prorated as part of the TrueUp/Settlement Process, provided that during the periods covered by the Initial Program Budget and the Second Program Budget, the total amount of Compensation paid to HSC-S shall not be adjusted if there is an Immaterial Adjustment. The purpose of the Teaching Time Logs is to keep a physical record of the time spent by HSC-S Faculty members providing Teaching and Supervision Services in fulfilling their duties during the course of each quarter. LSU shall require that each HSC-S Faculty member’s time log: (i) is completed and identifies the services furnished; (ii) reflects only those duties performed by the HSC-S Faculty member (iii) reflects only the time devoted by such individual HSC-S Faculty member and does not reflect the time devoted by any other HSC-S Faculty member; and (iv) does not include time spent providing patient care or administrative services other than Teaching and Supervision Services.   • Failure to Provide Notice A failure to give timely Notice or to include any specified information in any Notice as provided in this Section 15.3 will not affect the rights or obligations of any Party hereunder except and only to the extent that, as a result of such failure, any Party which was entitled to receive such Notice was deprived of its right to recover any payment under its applicable insurance coverage or was otherwise materially damaged as a direct result of such failure and, provided further, the Indemnitor is not obligated to indemnify the Indemnitee for the increased amount of any Indemnifiable Loss which would otherwise have been payable to the extent that the increase resulted from the failure to deliver timely a Notice of Claim.

  • OUR LIABILITY FOR FAILURE TO STOP PAYMENT If You order Us to place a stop payment on one of Your pre-authorized payments 3 business days or more before the transfer is scheduled, and We do not do so, We will be liable for losses or damages, to the extent provided by law. Except for mail-in transactions and certain small-value transactions, You can get a receipt at the time You make any transaction to or from Your Account through the use of Your Card.   • PROJECT REPRESENTATION BEYOND BASIC SERVICES 1.2.1. The State may at its option secure the services of a person or persons known as a Clerk-of-the-Works, referred to herein as a "Clerk". The Clerk(s) shall, for all purposes of this Agreement, report and be solely responsible to the State.   • Non-Medicaid-Funded Hours Worked Effective July 1, 2021, the Employer shall contribute the Healthcare Rate or three dollars and seventy-nine cents ($3.79), whichever is higher to the Trust for each Non-Medicaid- Funded hour worked. Non-Medicaid-Funded Hour(s) worked shall be defined as all hours worked by all employees covered by this Agreement in the Employer's in‐home care program that are paid by a payor other than Medicaid, excluding vacation hours, paid-time off, and training hours. Effective July 1 2022, the Employer shall contribute the Healthcare rate or three dollars and ninety-eight cents ($3.98), whichever is higher, to the Trust for each Non-Medicaid-Funded Hour worked. Contributions required by Section 21.2 shall be paid periodically as required by the Trust.

  • Supervisor's Post-Probation Report Unless the probationary employee has previously been removed from probation, the principal or other supervisor shall submit a written report to the Superintendent at the end of the probationary period, which report shall identify whether the performance of the probationary employee has improved and which shall set forth one of the following recommendations for further action:

  • Indemnity Limitation for TIPS Sales Texas and other jurisdictions restrict the ability of governmental entities to indemnify others. Vendor agrees that if any "Indemnity" provision which requires the TIPS Member to indemnify Vendor is included in any TIPS sales agreement/contract between Vendor and a TIPS Member, that clause must either be stricken or qualified by including that such indemnity is only permitted, "to the extent permitted by the laws and constitution of [TIPS Member's State]” unless the TIPS Member expressly agrees otherwise. Any TIPS Sale Supplemental Agreement containing an "Indemnity" clause that conflicts with these terms is rendered void and unenforceable.
