Provision of Replacement Units. Developer shall replace each of the 1,538 Existing Units with a new unit on a one-for-one basis with a Replacement Unit located in a new residential building (each, a “Replacement Building”). Each Replacement Unit shall contain one (1) washing machine, one (1) dryer and one (1) dishwasher and shall be wired for telephone and cable access. If the lease for the Existing Unit includes the right to park at a reserved off-street parking space or spaces, then the Replacement Unit shall include the same parking rights. The foregoing notwithstanding, the Parties acknowledge that a major component of the Project’s parking strategy is to separate parking garages from the residential buildings at the Project Site, in order to concentrate parking spaces at the portion of the Project Site that is farthest from the MUNI light rail stations, and that such parking strategy furthers the City’s Transit First policy. The Parties therefore agree that the parking space(s) associated with the Replacement Unit may not be located within the building or parcel in which the Replacement Unit is located, and that such parking space(s) may be located at a somewhat farther distance from the Replacement Unit than the existing parking space(s) is located from the Existing Unit. Not all of the residential units constructed by the Project will have patios and balconies. Accordingly, not all Replacement Units will have patios or balconies. The City agrees that, because of the improvement in the size and quality of the open space proposed by the Project compared to the existing open space at the Project Site, and due to the Project’s provision of amenities in the Replacement Units that are not present in the existing units (such as a washing machine, clothes dryer, and dishwasher), the lack of such patio or balcony shall not violate the Rent Ordinance. The Parties agree that Leasing and occupancy of each such Replacement Unit shall be governed by the requirements of this Article 4 whether or not an Existing Tenant chooses to relocate to the Replacement Unit.

Each Replacement Unit shall contain one (1) washing machine, one (1) dryer and one (1) dishwasher and shall be wired for telephone and cable access. Certain Replacement Units may have patios or balconies in accordance with the design documents to be prepared in connection with each Replacement Building. Leasing and occupancy of each such Replacement Unit shall be governed by the requirements of this Article 4 whether or not an Existing Unit chooses to relocate to the Replacement Unit.

  • Termination/Access Restriction Friends of the Lakota Nation reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Colorado and you hereby consent to the exclusive jurisdiction and venue of courts in Colorado in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Friends of the Lakota Nation as a result of this agreement or use of the Site. Friends of the Lakota Nation's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Friends of the Lakota Nation's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Friends of the Lakota Nation with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Friends of the Lakota Nation with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Friends of the Lakota Nation with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

  • Termination of Representative The services of a Representative may be terminated at any time by the affirmative vote of Holders holding a majority of the Notes, measured by the outstanding principal amount with respect to each such Note, but only if they simultaneously appoint a replacement Representative.

  • NON-ACCEPTANCE OF SETTLEMENT AGREEMENT 33. If, for any reason whatsoever, this Settlement Agreement is not accepted by the Hearing Panel or an Order in the form attached as Schedule “A” is not made by the Hearing Panel, each of Staff and the Respondent will be entitled to any available proceedings, remedies and challenges, including proceeding to a disciplinary hearing pursuant to sections 20 and 24 of By- law No. 1, unaffected by this Settlement Agreement or the settlement negotiations.

  • Designation of Representative The Director of Public Works or the Director’s authorized representative is hereby designated as the City’s representative with respect to the work to be performed under this Agreement. Said representative shall have complete authority to transmit instructions, receive information, and interpret and define the City’s policies and decisions with respect to the services of the Consultant.

  • PROVISIONS OF THIS AGREEMENT APPLICABLE ALLOTTEE/ SUBSEQUENT ALLOTTEES It is clearly understood and so agreed by and between the Parties hereto that all the provisions contained herein and the obligations arising hereunder in respect of the said Apartment/ Plot and the Project shall equally be applicable to and enforceable against and by any subsequent Allottee of the Apartment/ Plot, in case of a transfer, as the said obligations go along with the Apartment/ Plot for all intents and purposes.

  • NEGOTIATION OF A SUBSEQUENT AGREEMENT The parties agree to commence negotiations for a new collective agreement to succeed this Agreement at least 3 months before the nominal expiry date. The parties intend to conclude these negotiations prior to the nominal expiry date. These negotiations shall be conducted on a collective basis between the parties with the negotiated outcome being subject to approval of a vote of the employees collectively.

  • Termination of Recall Rights The layoff shall be a termination of employment and recall rights shall lapse if the layoff lasts for more than twenty-four (24) consecutive months without recall.

  • Right of Representation An employee covered by this Agreement shall, under this Article, have the right to have an Association representative present at any time, subject to his requesting such representation.
