Purchase and Sale of the Property. Subject to the terms of this Agreement, Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller, the Property for the Purchase Price.
Purchase and Sale of the Property. On the terms and conditions herein set forth, Seller shall sell to Buyer, and Buyer shall purchase from Seller, the Property.
Purchase and Sale of the Property. Seller agrees to sell, assign, convey, and transfer to Buyer all of Seller's right, title and interest in and to the following real and personal property described in subsections (a) through (g) below (collectively referred to herein as the "Property"), and Buyer hereby agrees to purchase and accept the Property, and assume the obligations in connection therewith, subject to and in accordance with the terms and conditions contained in this Agreement:
Purchase and Sale of the Property. Subject to the terms of this Agreement, Seller agrees to sell, or Seller shall cause Seller’s respective Affiliate to sell, to Buyer the Property for the Purchase Price set forth above. Seller agrees that it shall cause its Affiliates to perform all of the obligations of “Seller” hereunder with respect to the Property or Properties owned by such Affiliate as set forth on Exhibit A1 provided that this shall not release Seller from the obligations of the “Seller” under this Agreement.
Purchase and Sale of the Property. The Port shall sell and convey to the City, and the City shall purchase from the Port, subject to the terms and conditions set forth below: (i) all of the Port’s right, title and interest in and to the Property, as defined in Recital G above and including the real property, all Improvements, and all other rights, privileges and easements appurtenant to the Property; and (ii) all of the Port’s right, title and interest in and to all Third Party Leases, Licenses and Contracts, as defined in Section 9.1 below, associated with the Property as of the date of closing.
Purchase and Sale of the Property. Seller agrees to sell the Property to Buyer, and Buyer agrees to buy the Property from Seller, on the terms and conditions set forth in this Agreement. The Property that is the subject of the terms herein includes all of the following: (i) that certain parcel of land located at 0000 Xxxxx Xxx in Lake Oswego, Oregon and described in Exhibit A, except for the tract of land described in Exhibit B-1 and depicted in Exhibit B-2, which Seller will dedicate to the public as public right-of-way at or before Closing, (the Land”); (ii) all improvements currently situated on the Land (the “Improvements”); (iii) all leases and contracts approved by Buyer with respect to the Land or Improvements; and (iv) all licenses, permits, entitlements, reciprocal easements and easements used in the operation of, or located at, the Land or Improvements,. Seller will reserve a temporary easement for public access and right-of-way purposes over the tract of land described in Exhibit C-1 and depicted on Exhibit C-2, the terms of which will require Seller to relinquish and terminate the easement upon completion and acceptance of public street improvements throughout the portion of the tract described in Exhibit B-1 that is to the west of the easement area and that make the use of easement area as right of way unnecessary or duplicative. Seller will also reserve a drainage improvement easement, and sanitary sewer easements, the same as the drainage and sanitary sewer easements that encumbered the property immediately prior to Seller’s acquisition of the Property. The Property does not include the personal property on the Land or in the Improvements. Without limiting the general exclusion of personal property, the Property does not include any works of art, or any of the Seller’s information technology equipment, whether or not any such items are affixed to the Improvements.
Purchase and Sale of the Property. On the Closing Date and subject to the terms and conditions of this Agreement, Prefco shall sell, assign and convey, and Purchaser or its assignee shall purchase, the Property on the terms and conditions provided in this Agreement.
Purchase and Sale of the Property. Seller agrees to sell the Property to Purchaser, and Purchaser agrees to purchase the Property from Seller, on the terms and conditions set forth in this Agreement. The Property consists of: (a) All of Seller's right, title and interest in and to the parcel or parcels of land described in Exhibit A attached hereto (the "Land"), together with all easements, rights-of-way, appurtenances (including, without limitation, air rights, development rights and other similar rights, if any), tenements, hereditaments and water rights (if any) appertaining to or otherwise benefiting the Land or any of the Improvements (as defined below); (b) All of Seller's right, title and interest in and to any and all improvements, buildings, structures, and facilities, including, without limitation, the structures now located thereon consisting of structures for office, warehousing, manufacturing and parking uses (the "Building"), now or hereafter situated on the Land (collectively, the "Improvements"); (c) All of Seller's right, title and interest under all leases, licenses and other agreements to occupy all or any part of the Land or Improvements (collectively, the "Leases"), together with, and subject to the manner in which the same are to be prorated under this Agreement, all rents, charges, deposits and other sums due, accrued or to become due thereunder, and all guaranties by third parties of any tenant's obligations under such leases; (d) All of Seller's right, title and interest, if any, to the extent assignable (without obtaining consent), in and to all of the following intangible property now or hereafter existing with respect to the Property (the "Intangible Property"): (i) all plans and specifications, architectural drawings, building permits and other permits issued in connection with the construction, operation, use or occupancy of the Improvements, and all warranties, guaranties and sureties now or hereafter received in connection with the construction of or equipment on the Improvements; and (ii) all licenses, permits, approvals, certificates of occupancy and franchises relating to the zoning, land use, ownership, operation, occupancy, construction or maintenance of the Improvements running to or in favor of the Seller, the Land, or the Improvements, and all deposits to governmental authorities relating to the Seller, the Land, or the Improvements.
Purchase and Sale of the Property. Seller hereby agrees to assign, transfer, convey and sell to Purchaser, and Purchaser hereby agrees to purchase from Seller, upon the terms and conditions set forth in this Agreement, all of Seller's respective right, title and interest in and to those certain thirty (30) motel/hotels commonly known respectively by the street addresses set forth on Exhibit "B" attached hereto and made a part hereof and as more particularly described below (hereinafter referred to, collectively, as the "Property").
