Purchase Fee. Buyer agrees to pay a Software Purchase Fee in exchange for the ownership here herein. Such Purchase Fee is included as part of the Fees set forth in exhibit A.
Purchase Fee. The one-time payment set out in Schedule 1 for perpetual access to the Licensed Materials set forth on the initial Schedule 1 to this License. In the event additional Schedules of Licensed Materials are added to this License an additional Purchase Fee shall be payable by the Licensee as agreed by the parties. For the avoidance of doubt, the Purchase Fee shall be exclusive of any sales, use, value added or similar taxes and the Licensee shall be liable for any such taxes in addition to the Purchase Fee.
Purchase Fee. The Purchase Fee shall be a one-time, up front amount, to be paid by Sellers on the initial Purchase Date, equal to the product of (i) the Maximum Committed Aggregate Purchase Price and (ii) [****] less any Purchase Fee paid under the Bear, Xxxxxxx Funding Repurchase Agreement.
Purchase Fee. A one-time payment for nonexclusive perpetual access to the Licensed Materials, subject to the terms and conditions of this Agreement.
Purchase Fee. If provided for in the applicable Confirmation, Seller will pay to Buyer, in lieu of a portion of the Pricing Rate, an upfront amount on the applicable Purchase Date in the amount set forth in the relevant Confirmation; provided, however, that the foregoing fee shall not be payable in connection with any repricing pursuant to Section 13 below or any substitution of Securities permitted under the Agreement.
Purchase Fee. $10,000.00 due at contract execution, plus assumption of Avalon debt.
Purchase Fee. In connection with each Transaction, the Seller will pay the Buyer, in lieu of a portion of the Pricing Rate, an amount upfront on the date of purchase equal to the sum of the following: (a) the product of 1.14% multiplied by that amount of the Purchase Price for the Transaction which is less than or equal to PPF, plus (b) the product of 1.50% multiplied by that amount of the Purchase Price for the Transaction which is greater than PPF. For purposes of calculating the Purchase Fee, PPF shall be determined as follows: PPF = $100,000,000 - APP, provided PPF shall never be less than 0, and where APP is the combined aggregate amount of Purchase Prices paid by Buyer with respect to all Transactions under both Terms Annex 2002-A and Terms Annex 2002-B which have been entered into prior to the Transaction for which the Purchase Fee is being calculated. Provided, however, that the foregoing fee shall not be payable in connection with any repricing pursuant to Section 6 below or any substitution of securities permitted under the Agreement.
Purchase Fee. An amount equal to the aggregate sum of one percent (1%) of the Liquidation Preference (as defined in the applicable Articles Supplementary) of all of Preferred Shares being issued to such Purchaser at the Closing.
Purchase Fee. You will pay us the Purchase Fee as per the relevant Schedule. Payment of the Purchase Fee entitles you to use the Software in accordance with this Agreement.
Purchase Fee. The Shopping Center may charge a fee directly to purchaser of the Card for the purchase and/or activation of the Card in the amount disclosed to purchaser at the time of sale. The purchase fee, if any, will be paid directly by purchaser to the Shopping Center and will not be deducted from the amount on the Card. We will not retain any portion of the purchase fee. Maintenance Fee A nonrefundable maintenance fee will be automatically deducted by us each month from the Card balance in the amount stated on the Card back commencing on the date stated on the Card back.
