Purchasers’ Agent. A selling agent can, with a Purchaser’s consent, agree to act as agent for the Purchaser only. In these situations, the agent is not the Seller’s agent, even if by agreement the agent may receive compensation for services rendered, either in full or in part from the Seller. An agent acting only for a Purchaser has the following affirmative obligations: (1) To the Purchaser: A fiduciary duty of utmost care, integrity, honesty and loyalty in dealings with the Purchaser. (2) To the Purchaser and the Seller: a. Diligent exercise of reasonable skill and care in performance of the agent’s duties. b. A duty of honest and fair dealing and good faith. c. A duty to disclose all facts known to the agent materially affecting the value or desirability of the property that are not known to, or within the diligent attention and observation of, the Parties. An agent is not obligated to reveal to either Party any confidential information obtained from the other Party which does not involve the affirmative duties set forth above.
Purchasers’ Agent. The Purchaser irrevocably appoints Joseph Gunnar & Co., LLC as its agent to take any action, on Puxxxxxxx'x xxhalf, which Purchaser is required or permitted to take pursuant to this Agreement. Joseph Gunnar & Co., LLC shall have sole and exclusive authority to rxxxxxx xxxxxxation or further assurances and to take action on behalf of the Purchaser, and the Purchaser shall not be entitled to make such requests or take such actions individually. Any and all notices, amendments or other documents given, received or executed by Joseph Gunnar & Co., LLC as such agent shall be binding upon the Purxxxxxx, xxx xhe Company shall be entitled to rely upon any communication received from such agent appearing to be valid on its face with respect to matters arising under this Agreement concerning the interests of the Purchaser.
Purchasers’ Agent must not cease to be a Purchasers’ Agent unless a replacement Purchasers’ Agent has been appointed to the reasonable satisfaction of the Sellers.
Purchasers’ Agent. (a) From time to time, the Purchasers may authorize one of the Purchasers, or an Affiliate of one of the Purchasers to act as the Purchasers’ Agent for taking the actions of the Purchasers’ Agent specified under the Agreement. The Purchasers’ Agent shall be Orion Co-Investments II (Stream) Limited or as otherwise may be designated from time to time by notice in writing from the Majority Purchasers to the other Parties.

Purchasers’ Agent. Each Purchaser hereby appoints ________________ ("Purchasers' Agent") as its agent and attorney-in-fact for the purpose of signing and filing any uniform commercial code financing statements (and any amendments and/or continuations thereof) or other documents in any jurisdictions and filing offices as Purchasers' Agent considers necessary or appropriate to perfect or enhance the Purchasers' security interest in the Collateral granted hereunder and under the Note, or to deliver any notices required thereunder. Furthermore, and without limiting the foregoing, the Company shall execute and/or deliver, from time to time, as Purchasers' Agent, in its capacity as agent for the Purchasers, may reasonably require for the benefit of Purchasers to evidence, perfect or protect Purchasers' liens and security interests in the Collateral, any agreements, documents, instruments and writings, including, without limitation, financing statements, security agreements, pledge agreements, and amendments, continuations or supplements to any of the foregoing.
Purchasers’ Agent. (a) From time to time, the Purchasers may authorize one of the Purchasers, or an Affiliate of one of the Purchasers to act as the Purchasers’ Agent for taking the actions of the Purchasers’ Agent specified under the Agreement. The Purchasers’ Agent shall be OMF Fund IV SPV E LLC or as otherwise may be designated from time to time by notice in writing from the Majority Purchasers to the other Parties.
Purchasers’ Agent. Xxxx acknowledges that Purchasers’ Agent has been authorized by the Purchasers to act for the Purchasers in all matters under the Security Agreement and he agrees to accept the acts and writings of the Purchasers’ Agent on their behalf. Each of the undersigned Purchasers agrees that all acts and writings of the Purchasers’ Agent consistent with the terms of this Agreement shall be binding on such Purchaser for all purposes under this Agreement.

Purchasers’ Agent. Purchaser shall have the right to designate an agent (the “Purchaser’s Agent”) for the purpose of managing Purchaser’s subaccount and interacting as needed with Seller regarding PJM activity including the payment of PJM related costs due from Purchaser to Seller (if any).
