Purchaser’s Right. If, for any reason whatsoever, the Company shall not exercise its right to purchase all of the Offered Shares as provided herein, the Company shall promptly provide to the Purchasers, written notice (the "Notice") of same (which shall include a copy of the written offer provided to the Company pursuant to Section 1.1 hereof), and then the Purchasers shall have the right, on a pro rata basis, to purchase, on the same terms and conditions set forth in the Offer, that portion of the Offered Shares which the Company shall not have agreed to purchase from the Founder (all such remaining Shares being referred to as the "Remaining Offered Shares").
