PURPOSE OF CORE BUSINESS DEFINITIONS. Pursuant to certain of the Ancillary Agreements Millipore and MMI will agree to respect the MMI Core Business and the Millipore Core Business, respectively, in their exercise of their respective rights under those Ancillary Agreements. The parties agree that it is necessary to have a common definition of the MMI Core Business and of the Millipore Core Business to serve as a consistent reference point for these Ancillary Agreements. The definition of Millipore Core Business set forth in Section 8.2 below and the definition of MMI Core Business set forth in Section 8.3 below are each intended to define the core business areas of both Millipore and MMI and to provide a common reference point for the specific non-compete and use restriction covenants contained in the various Ancillary Agreements. The Core Business Definitions are not intended to establish or imply a general non-competition covenant or to prevent Millipore from pursuing business opportunities in the MMI Core Business or to prevent MMI from pursuing business opportunities in the Millipore Core Business so long as such pursuit does not violate the specific non-compete or use restriction covenants contained in the Ancillary Agreements.
