Qualification to Conduct Business. Nothing contained in this Agreement shall be construed to require the Custodian to qualify to do business in any jurisdiction other than
(i) any jurisdiction in which any Custodial Document is or may be held by the Custodian from time to time under this Agreement or (ii) any jurisdiction in which the ownership of its property or the conduct of its business requires such qualification and in which the failure to qualify could have a material adverse effect on the Custodian or its property or business or on the ability of the Custodian to perform its duties and obligations under this Agreement.
Qualification to Conduct Business. Buyer is duly qualified to do business as a foreign corporation and is in good standing in every jurisdiction in which the character of the properties owned or leased by it or the nature of the businesses conducted by it makes such qualification necessary.
Qualification to Conduct Business. Each Seller is duly qualified to do business and is in good standing in every jurisdiction in which the character of the properties owned or leased by it or the nature of the businesses conducted by it makes such qualification necessary.

Qualification to Conduct Business. Schedule 1.1(m) sets forth all jurisdictions in which each Seller and, to the Knowledge of Sellers, each Joint Venture is qualified to do business. Except as set forth on Schedule 1.1(m), each Seller and, to the Knowledge of Sellers, each Joint Venture is duly qualified to do business as a foreign Business Entity and is in good standing in every jurisdiction in which the character of the properties owned or leased by it or the nature of the business conducted by it makes such qualification necessary.

Each Seller Local Entity is duly qualified to do business as a foreign corporation and is in good standing in all jurisdictions where the character of its activities or the location of the properties owned or leased by it requires such qualification or registration, except where the failure to be qualified or registered would not have a Material Adverse Effect or can be cured solely by qualifying in such jurisdiction along with the associated filing fee. The schedules to the Local Purchase Agreements set forth a true and complete list of all jurisdictions (foreign and domestic) in which each Seller Local Entity is presently licensed or qualified to conduct business.

Each of L1 and Subco has all requisite corporate capacity, power and authority, and is duly qualified, licensed or registered to or possesses all material certificates, authority, permits and licenses issued by the appropriate Government Authority to conduct its business as now conducted by it.

Each of the Corporation and DTI is duly registered to do business and is in good standing in each jurisdiction in which the character of its properties, owned or leased, or nature of its activities make such registration necessary, except where failure to be so registered or in good standing would not result in Material Adverse Effect.

SM has all requisite corporate capacity, power and authority, and is duly qualified, licensed or registered to or possesses all material certificates, authority, permits and licenses issued by the appropriate Government Authority to conduct its business as now conducted by it.
