Quorum and Notice of meetings. No formal quorum is set for the meetings but each party shall use its reasonable endeavours to ensure one member representative (the Leader or nominated deputy) is in attendance. Quorum and Notice of meetings. (1) At any general meeting of the Institute twenty five per cent of the persons entitled to be present and to vote shall form a quorum. (2) At least twenty-one days notice of every Annual General Meeting shall be given to every member of the Institute by posting the same or by advertising in a newspaper circulating in each member state. (3) In the case of a Special General Meeting, a notice referred to in sub-article (2) shall contain a statement indicating the nature of the business to be transacted thereat. (4) At any general meeting of the Institute only financial members are entitled to be present and to vote. (5) A member entitled to vote at a general meeting may appoint a proxy to attend on the member’s behalf: Provided that notice of such proxy must be served on the Institute not less than forty-eight hours before the time of the meeting.

  • Notice of Meetings Notice of all meetings of the Preferred Securityholders, stating the time, place and purpose of the meeting, shall be given by the Property Trustee pursuant to Section 10.8 to each Preferred Securityholder of record, at his registered address, at least 15 days and not more than 90 days before the meeting. At any such meeting, any business properly before the meeting may be so considered whether or not stated in the notice of the meeting. Any adjourned meeting may be held as adjourned without further notice.

  • Notice of Meeting and Record Date Notice of all meetings of Shareholders, stating the time, place and purposes of the meeting, shall be given by the Trustees by mail to each Shareholder of record entitled to vote thereat at its registered address, mailed at least 10 days and not more than 90 days before the meeting or otherwise in compliance with applicable law. Only the business stated in the notice of the meeting shall be considered at such meeting.
