Common use of Quorum; Telephonic Meetings Clause in Contracts

Quorum; Telephonic Meetings. (a) Provided that notice of the meeting has been given in accordance with Section 4.05, Members holding a majority of the outstanding Units entitled to vote with respect to the business to be transacted, who shall be present or represented by proxy at any meeting duly called, shall constitute a quorum for the transaction of business. If less than a quorum shall be in attendance at the time for which a meeting shall have been called, the meeting may be adjourned from time to time by the Members holding a majority of the Units held by Members present in person or represented by proxy and the Company shall promptly give notice of when the meeting will be reconvened. (b) Members may, and shall be entitled to, participate in meetings of the Members by means of conference telephone or similar communications equipment by means of which all Persons participating in the meeting can hear each other. Participation in a telephonic meeting pursuant to this Section 4.06(b) shall constitute presence at such meeting for purposes of Section 4.06(a) and shall constitute a waiver of any deficiency of notice, except when a Member attends the meeting for the express purpose of objecting, at the beginning of the meeting, to the transaction of any business because the meeting is not called or convened in accordance with this Agreement.

(a) Provided that notice of the meeting has been given in accordance with Section 4.053.5, Members holding whose Membership Percentages are at least 50% in the aggregate shall constitute a majority quorum for the transaction of business; provided, that for so long as any Initial Member holds at least 10% of the outstanding number of Common Units entitled to vote with respect to held by such Member as of the business to be transacteddate hereof, who a quorum shall require that such Initial Member shall be present or represented by proxy at any meeting duly called, shall constitute a quorum for the transaction of business. If less than a quorum shall be in attendance at the time for which a meeting shall have been called, the meeting may be adjourned from time to time by the Members holding a majority of the Units held by Members present in person or represented by proxy at such meeting and the Company shall promptly give notice of when the meeting will be reconvened. (b) Members may, and shall be entitled to, participate in meetings of the Members by means of conference telephone or similar communications equipment by means of which all Persons participating in the meeting can hear each other.
