Adjourned Meetings. A majority of the Managers present at any meeting of the Board of Managers, including an adjourned meeting, whether or not a quorum is present, may adjourn such meeting to another time and place. At least one day’s notice of any adjourned meeting of the Board of Managers shall be given to each Manager whether or not present at the time of the adjournment, if such notice shall be given by one of the means specified in Section 7(f)(vii) hereof other than by mail, or at least three days’ notice if by mail. Any business may be transacted at an adjourned meeting that might have been transacted at the meeting as originally called.

Adjourned Meetings. If any Member meeting is adjourned to a different date, time or place, notice need not be given of the new date, time or place, if the new date, time and place is announced at the meeting before adjournment; provided that, if a new record date for the adjourned meeting is or must be fixed, then notice must be given to new Members as of the new record date.

Adjourned Meetings. 4.1 A meeting may (with the consent of the Issuer in the case of a meeting convened at the request of the Noteholders) be adjourned in the following circumstances: (a) (except in the case of a Multiple Series Single Limb Extraordinary Resolution) if there is not present at the meeting within 15 minutes from the time initially fixed for the meeting one or more voters representing or holding Notes in an amount sufficient to pass, in relation to the Notes, the Extraordinary Resolution proposed for adoption at that meeting; (b) (in the case of a Multiple Series Single Limb Extraordinary Resolution) if there is not present at the meeting within 15 minutes from the time initially fixed for the meeting one or more voters representing or holding at least 25 per cent. of the Notes; (c) (in the case of all business other than voting on an Extraordinary Resolution) if there is not present at the meeting within 15 minutes from the time initially fixed for the meeting one or more voters representing or holding at least 10 per cent. of the Notes; or (d) if the chairman is directed to do so by the meeting. 4.2 Any adjournment in the circumstances described in paragraph 4.1(a), 4.1(b) and 4.1(c) above shall be for such period (which shall be not less than 14 days and not more than 42 days) and at such time and place as the chairman determines, provided however that no meeting may be adjourned more than once in such circumstances. Any adjournment in the circumstances described in paragraph 4.1(d) above shall be for such period and to such time and place as the meeting determines. 4.3 No business shall be transacted at any adjourned meeting except business which might lawfully have been transacted at the meeting from which the adjournment took place. The chairman of an adjourned meeting need not be the same person as the chairman of the original meeting. At an adjourned meeting adjourned in the circumstances described in paragraph 4.1(a) above, one or more persons present in person holding Notes or being proxies or representatives (holding at least one quarter of the aggregate principal amount of the Notes so held or represented) shall form a quorum. 4.4 At least 10 days' notice (exclusive of the day on which the notice is given and of the day on which the meeting is held) of a meeting adjourned in the circumstances described in paragraph 4.1(a), 4.1(b) and 4.1(c) above shall be given in the same manner as for an original meeting. Adjourned Meetings. If a shareholders’ meeting is adjourned to a different place, date or time, whether for failure to achieve a quorum or otherwise, notice need not be given of the new place, date or time if the new place, date or time is announced at the meeting before adjournment. When a determination of shareholders entitled to vote at any meeting of shareholders has been made as provided in these bylaws, that determination shall apply to any adjournment thereof, unless Washington law requires fixing a new record date. If Washington law requires that a new record date be set for the adjourned meeting, notice of the adjourned meeting must be given to shareholders as of the new record date. Any business may be transacted at an adjourned meeting that could have been transacted at the meeting as originally called.
