Notice of Board Meetings. Notice of Board meetings shall be given by the Chair or the Chair’s designee to each other Board Member by overnight courier service, email or other electronic transmission, or personal delivery. Notices shall be deemed to have been given: if given by courier service, when deposited with a courier service for overnight delivery with charges therefor prepaid or duly provided for; if given email or other electronic transmission, at the time of sending; and if given by personal delivery, at the time of delivery. Notices given by personal delivery may be in writing or oral. Written notices shall be sent to a Board Member at the postal address, email address or address for other electronic transmission, designated by him or her for that purpose or, if none has been so designated, at his or her last known residence or business address, email address or address for other electronic transmission. Except to the extent required by applicable law, no notice of any meeting of the Board need state the purposes of the meeting.
Notice of Board Meetings. The Board shall make available to the Federation President a copy of the agenda of scheduled monthly Board meetings, including all reports and attachments, excluding confidential information or information earmarked for executive session, as soon as the same is available to Board members. In the event of a specially called meeting of the School Board, the Board agrees to notify the office of the Federation of the time and place of such meetings and, where appropriate, of the agenda for the meeting. Such notifications shall be given promptly following the official call of the meeting. The Federation President shall also be provided with a copy of the official minutes of each Board meeting within five (5) working days of the Board’s approval of those minutes or at the time of release for publication in the Board’s official journal. No competing organization will be extended this right.
Notice of Board Meetings. A Director may, and the Secretary on the requisition of a Director shall, at any time summon a meeting of the Board. Notice of a meeting of the Board shall be deemed to be duly given to a Director if it is given to such Director verbally (in person or by telephone) or otherwise communicated or sent to such Director by post, cable, telex, telecopier, facsimile, electronic mail or other mode of representing words in a legible form at such Director’s last known address or any other address given by such Director to the Company for this purpose.
Notice of Board Meetings. Notices of all Board of Directors’ meetings shall be posted on the office bulletin board. Minutes and agendas, if available, also shall be posted. Nothing herein shall be interpreted to invalidate any action by the Board of Directors as a result of the failure to post such notice.
Notice of Board Meetings. Regular meetings of the Board of Managers are to be held at such times and places as may be fixed by the Board of Managers. Special meetings of the Board may be called by the President or by any two members of the Board. Notice of the time and place of a special or regular meeting of the Board is effective if delivered to each member of the Board by hand, telecopy, telephone or e-mail at least 48 hours prior to the time of such special meeting. Notices of special meetings of the Board are to identify the purpose of the special meeting or the business to be transacted at the special meeting. The failure to specifically identify an action to be taken or business to be transacted does not invalidate any action taken or any business transacted at a special meeting.
Notice of Board Meetings. Notices prepared for Board Members and newspapers for regular board meetings shall be sent through the school mail to the President of the Association at the same time they are sent to the newspapers. Agendas shall be given to the President of the Association through the school mail the same time they are sent out to the Board Members. The President shall be notified of all special board meetings through the school mail or in emergency by phone.
Notice of Board Meetings. The President of the Association or his/her designee shall be given written notice of any regular or special meeting of the Board together with a copy of the agenda or statement of purpose of such meeting and a copy of the unapproved minutes of Board Meetings, if any, at least forty-eight (48) hours prior to the scheduled time of such meeting.
Notice of Board Meetings. Except as otherwise required by law or provided in this Agreement, written notice of any meeting of the Board stating the place, date and time of the meeting and, in the case of a special meeting, the purpose thereof shall be given to each Director not less than twenty-four (24) hours, nor more than thirty (30) days before the meeting date. Notice of any meeting of the Board may be given in person or by telephone, or sent by overnight courier, electronic transmission or facsimile to each Director’s primary business or home.
Notice of Board Meetings. In addition to the powers of the Board to call meetings as set out in the Articles, a Board meeting may be convened by either Party at any time. Unless otherwise agreed by all of the Directors, at least five (5) Business Days prior notice of any meeting of the Board shall be given to each Director at his or her last known address. The notice shall contain a short agenda of the business to be conducted at the meeting. No business which is not referred to in the notice may be conducted at any Board meeting without the consent of all Directors.
Notice of Board Meetings. A Director may convene a Board meeting by giving not less than five Business Days written notice to every Director. The notice must:
(a) postal or email address: be sent to the postal or email address that the Directors provide to the Company for the purpose of receiving notices;
(b) date, time and place: specify the date, time and place of the meeting; and
(c) matters to be discussed: include an indication of the matters to be discussed at the meeting. Any irregularity in the notice of a Board meeting is waived if all Directors attend the meeting without protest as to the irregularity or if all Directors agree to waive the irregularity.
