Ratification of Sublease. The Sublease, as amended by this Amendment, is hereby ratified by Sublandlord and Subtenant, and Subtenant and Sublandlord hereby agree that the Sublease, as so amended, shall continue in full force and effect. Each of Sublandlord and Subtenant hereby represents and warrants to the other that, as of the date hereof, (a) it has full power and authority to enter into and perform its obligations hereunder; and (b) to its knowledge, it is not in default of any of its obligations under the Sublease.
Ratification of Sublease. Sublandlord and Subtenant hereby ratify and confirm the Original Sublease, as amended by this Second Amendment, and the Consent to Original Sublease, and confirm that the Sublease and the Consent to Original Sublease remain in full force and effect in accordance with their terms. In the event of any inconsistency between this Second Amendment and the Original Sublease, the terms of this Second Amendment shall govern and control. In the event of any inconsistency between the Consent to Original Sublease and the Sublease, the Consent to Original Sublease shall govern and control. (Signatures begin on next page.)
Ratification of Sublease. This Ratification of Sublease is executed by the City of Gulf Shores, a municipality of the State of Alabama (the “City”), to satisfy the terms of its lease agreement with the Airport Authority of the City of Gulf Shores, a public corporation under the laws of the State of Alabama (the “Authority”).
Ratification of Sublease. As amended hereby, the Sublease shall remain in full force and effect in accordance with its terms. The Sublease, as modified and amended hereby, is ratified and confirmed in all respects. In the event of a conflict between the Sublease and this Agreement, this Agreement shall control.
Ratification of Sublease. As 1st Pacific Bank is, as of the date first written above, an entity that is incorporated and does not yet have the requisite approvals to transact business in its name, this Sublease is being executed by La Jolla Association, its predecessor in interest, on behalf of 1st Pacific Bank. La Jolla Association and 1st Pacific Bank hereby agree that 1st Pacific Bank will execute the Sublease in the space provided below once it is incorporated and receives such approvals. La Jolla Association hereby agrees that it will indemnify Sublandlord for any and all damages, costs or expenses incurred by Sublandlord in the event that 1st Pacific Bank fails to so execute this Sublease after the receipt of such approvals.
Ratification of Sublease. Nothing contained herein shall be construed as a consent to, or approval of, or ratification by Landlord of any of the particular provisions of the Sublease (except as may be expressly provided herein) or as a representation or warranty by Landlord to Tenant, Subtenant or any other party or entity with respect to the subject matter thereto. Landlord has not, and shall not, review or pass upon any of the provisions of the Sublease and shall not be bound or estopped in any way by the provisions of the Sublease.
Ratification of Sublease. The Sublease as amended by this Amendment is ratified, confirmed and approved in all respects.

Ratification of Sublease. All other terms and conditions of the Sublease shall remain in full force and effect. In the event of any conflict between the provisions of the Sublease and the provisions of this First Amendment, the provisions of this First Amendment shall prevail.
