In the event the Executive has incurred a Separation from Service by reason of a termination of the Executive’s employment by the Company without Cause or by the Executive for Good Reason, in either case during a period beginning six (6) months prior to a Change of Control and ending two (2) years after a Change of Control, the Company will:
