Common use of Record Date; Determining Members Entitled to Notice and Vote Clause in Contracts

Record Date; Determining Members Entitled to Notice and Vote. The‌ board of directors may fix a date not more than forty (40) days before the date of a meeting of Members as the date for the determination of the Membership entitled to notice of the meeting and the Members entitled to vote at the meeting. When a date is so fixed, only the Membership on that date is entitled to notice and only the Members are entitled to vote at a meeting of the Members unless the board of directors fixes a new date for determining the right to notice and to vote, which it must do if the meeting is adjourned to a date more than sixty (60) days after the record date for determining Membership entitled to notice of the original meeting.
