Recording of Deed. Escrow Agent will cause (i) the Deed to be dated as of the Closing Date and recorded among the official records of the appropriate jurisdiction for the Real Property and (ii) all other conveyance documents deposited with Escrow Agent to be dated as of the Closing Date, at such time as Title Insurer is prepared to issue the Title Policy to be issued to Purchaser as contemplated in this Agreement (but in no event after the Closing Date), and will hold for the account of Seller and Purchaser the items and funds (if any) to be delivered to Seller and Purchaser, after payment of costs, expenses, disbursements and prorations chargeable to Seller or Purchaser pursuant to the provisions of this Agreement.
Recording of Deed. Escrow Holder will cause the Deed to be dated and recorded in the Official Records of the County of Orange, State of California, and all other conveyance documents deposited with Escrow Holder dated as of Close of Escrow, when (but in no event after the Closing Date) Title Insurer is irrevocably committed to issue the Title Policy to be issued as contemplated in this Agreement, and holds for the account of Seller and Purchaser the items and funds (if any) to be delivered to Seller and Purchaser through the Escrow, after payment of costs, expenses, disbursements and prorations chargeable to Seller or Purchaser pursuant to the provisions of this Agreement. The amount of any documentary transfer taxes will not be posted on the Deed, but will be properly reported by a separate tax affidavit filed by Escrow Holder with the Deed.
Recording of Deed. Purchaser shall promptly record said Special Warranty Deed in the Office of the Recorder of Deeds of Fayette County, Pennsylvania, following the closing, and shall pay all required recording costs.

Subject to Section 8.3 below, Escrow Agent will cause the Deed to be dated as of the Closing Date and recorded in the Official Records, and all other Closing Documents deposited with Escrow Agent to be dated as of the Closing Date, when (but in no event after the Closing Date) Escrow Agent holds for the account of Seller and Purchaser all items and funds (if any) to be delivered to Seller and Purchaser through the Escrow, after payment of costs, expenses, disbursements and prorations chargeable to Seller or Purchaser pursuant to the provisions of this Agreement.
Recording of Deed. Upon execution of the Deed, said document will be recorded by the City Clerk of the City of Palm Coast with the Flagler County Clerk’s Office.

Within ten (10) Business Days after the Effective Date, VRLP will cause that certain Deed, dated as of February 28, 2014, by and between Vornado Savanna LLC and VNO 0000 Xxxxxxxx Xxxx LLC relating to a portion of the Real Property to be delivered for recording in the appropriate local land records.
