Tax Affidavit. Parent shall have received a nonforeign affidavit, as such affidavit is referred to in Section 1445(b)(2) of the Code, of each of the Company's shareholders signed under penalty of perjury and dated as of the Closing Date, to the effect that such shareholder is not a foreign person and providing such shareholder's United States taxpayer identification number.
Tax Affidavit. Parent shall have received a nonforeign affidavit, as such affidavit is referred to in Section 1445(b)(2) of the Code, of Target, signed under penalties of perjury and dated as of the date of the Closing Date, to the effect that Target is not a foreign person (as such term is defined in Section 1445(f)(3) of the Code) and providing Target's United States taxpayer identification number.
Tax Affidavit. Purchaser shall have received a nonforeign affidavit, as such affidavit is referred to in Section 1445(b)(2) of the Code, of each of Shareholders signed under penalty of perjury and dated as of the Closing Date, to the effect that such Shareholder is a United States Citizen (and thus not a foreign person) and providing such Shareholder's United States taxpayer identification number.
Tax Affidavit. Prior to the Closing, the Company shall deliver a non-foreign status affidavit duly executed by an authorized officer the Company, dated as of the Closing Date, sworn under penalty of perjury and in form and substance required under Treasury Regulations issued pursuant to Section 1445 of the Code stating that the applicable Seller is not a “foreign person” as defined in Section 1445 of the Code.
Tax Affidavit. All Offerors should submit as part of their proposals a completed Tax Affidavit form, regardless of whether the Offeror is currently registered to conduct business in the District of Columbia. Offerors that are not currently registered to conduct business in the District of Columbia should also submit a certification signed by the appropriate corporate officer that the Offeror is not currently registered to conduct business in the District of Columbia, but if selected through this procurement will promptly register as required. Tax Affidavit. Seller's affidavit confirming that the sale of the Property to Buyer hereunder is not subject to, and does not subject Buyer to, liability for income tax, retail sales tax or bulk sales obligations under the applicable laws of any state in which a Project is located.
Tax Affidavit. Evidence satisfactory to Escrow Holder that Seller is exempt from the provisions of the withholding requirements of the California Revenue and Taxation Code, as amended, and that neither Buyer nor Escrow Holder is required to withhold any amounts from the Purchase Price pursuant to such provisions.

Tax Affidavit. The Companies shall have furnished Purchaser with the affidavit referred to in Section 7.6 and Purchaser shall not have actual knowledge nor shall Purchaser have received notice pursuant to Section 1445(d) of the Code that any of such affidavits are false.
Tax Affidavit. At Closing, Seller shall deliver to Purchaser an affidavit of Seller's Chief Financial Officer, in form reasonably satisfactory to Purchaser, stating under penalties of perjury such Seller's United States taxpayer identification number and that such Seller is not a foreign person within the meaning of section 1445(b)(2) of the Code.
