Reduction of Lender's Commitment. (a) In the event of a partial cancellation of the Lenders' Commitment pursuant to Section 6.1, the Liquidity Agent shall promptly provide to each Lender a copy of the notice of cancellation received from the Trust and each Lender shall have two (2) Business Days to notify the Liquidity Agent whether it wishes to reduce its Lender's Commitment, after which time the Lender's Commitment of each Lender which has notified the Liquidity Agent that it wishes to reduce its Lender's Commitment (a "Reducing Lender") shall be reduced by an amount equal to its pro rata share of the amount (the "Cancelled Amount") of the Lenders' Commitment to be cancelled (based upon the proportion that its Lender's Commitment bears to the aggregate of the Lender's Commitments of all the Reducing Lenders. If the aggregate of the Lender's Commitments of the Reducing Lenders is less than the Cancelled Amount, then, after reducing the Lender's Commitments of the Reducing Lenders to zero, the Lender's Commitments of each of the remaining Lenders (the "Remaining Lenders") shall be reduced by an amount equal to the pro rata share of such Remaining Lender of the balance of the Cancelled Amount (based upon the proportion that such Remaining Lender's Commitment bears to the aggregate of the Lender's Commitments of all the Remaining Lenders). Effective upon the expiry of the said two (2) Business Day period, Schedule 1 hereto shall be amended to reflect such reduction, and the Liquidity Agent shall amend its books of account accordingly.

  • EXTENSION OF USE COMMITMENT The Contractor agrees to honor all orders from State Agencies, political subdivisions and others authorized by law (see Section 25 Extension of Use) which are in compliance with the pricing, terms, and conditions set forth in the Contract. Any unilateral limitations/restrictions imposed by the Contractor on eligible Authorized Users will be grounds for cancellation of the Contract.

  • Specific Commitments Investments in respect of a particular undertaking of one of the Contracting Parties with respect to nationals and companies of the other Contracting Party shall be governed, without prejudice to the provisions of this Agreement, the terms of that commitment to the extent that it is more favourable provisions than those laid down in this Agreement.

  • Additional Commitments The Parties may negotiate commitments with respect to measures affecting trade in services not subject to scheduling under Article 106 (National Treatment) or Article 107 (Market Access), including those regarding qualifications, standards or licensing matters. Such commitments shall be inscribed in a Party's Schedule.

  • STAFF COMMITMENT 23. If this Settlement Agreement is accepted by the Hearing Panel, Staff will not initiate any proceeding under the By-laws of the MFDA against the Respondent in respect of the facts set out in Part IV and the contraventions described in Part V of this Settlement Agreement, subject to the provisions of Part IX below. Nothing in this Settlement Agreement precludes Staff from investigating or initiating proceedings in respect of any facts and contraventions that are not set out in Parts IV and V of this Settlement Agreement or in respect of conduct that occurred outside the specified date ranges of the facts and contraventions set out in Parts IV and V, whether known or unknown at the time of settlement. Furthermore, nothing in this Settlement Agreement shall relieve the Respondent from fulfilling any continuing regulatory obligations.

  • Replacement of Lenders If any Lender requests compensation under Section 3.04, or if the Borrower is required to pay any additional amount to any Lender or any Governmental Authority for the account of any Lender pursuant to Section 3.01, the Borrower may replace such Lender in accordance with Section 10.13.

  • No Commitment None of the provisions of this Agreement shall be deemed or construed to constitute or imply any commitment or obligation on the part of the Lender to make any future loans or other extensions of credit or financial accommodations to the Borrower.

  • Maximum Commitment The maximum aggregate amount payable by NYSERDA to the Contractor shall be the amount appearing at Item 5 of page one of this Agreement.   • Commitment Within 20 days after the Title Company receives a copy of this contract, Seller shall furnish to Buyer a commitment for title insurance (Commitment) and, at Buyer's expense, legible copies of restrictive covenants and documents evidencing exceptions in the Commitment (Exception Documents) other than the standard printed exceptions. Seller authorizes the Title Company to deliver the Commitment and Exception Documents to Buyer at Buyer's address shown in Paragraph 21. If the Commitment and Exception Documents are not delivered to Buyer within the specified time, the time for delivery will be automatically extended up to 15 days or 3 days before the Closing Date, whichever is earlier.   • Employer Commitments It is agreed that the institution will make every reasonable attempt to minimize the impact of funding shortfalls and reductions on the work force. It is incumbent upon institutions to communicate effectively with their employees and the unions representing those employees as soon as the impact of any funding reduction or shortfall or profile change has been assessed. If a work force reduction is necessary, the Joint Labour Management Committee will canvas employees in a targeted area or other areas over a fourteen (14) day period, or such longer time as the Joint Labour Management Committee agrees, to find volunteer solutions that provide as many viable options as possible and minimize potential layoffs. Subject to any agreement that the Joint Labour Management Committee may make to extend the period of a canvass, such canvasses shall take place either: • prior to the issuance of lay-off notice to employees under the local agreement, or • by no later than fourteen (14) calendar days following the annual deadline for notice of non-renewal or layoff where a local provision provides for such a deadline, whichever date is later. The union shall be provided with a copy of each final plan for employee labour adjustment.
