Registrar Tool Kit. No later than five (5) business days after the Effective Date, usTLD Administrator shall provide to Registrar a copy of the Registrar Tool Kit, which shall provide sufficient technical specifications to permit Registrar to interface with the usTLD System and employ its features that are available to registrars, provided that, if the Effective Date occurs prior to the date that usTLD Administrator has made the usTLD Tool Kit available to .us registrars generally (“Availability Date”), usTLD Administrator shall provide to Registrar a copy of the usTLD Tool Kit, no later than five (5) business days after the Availability Date. Subject to the terms and conditions of this Agreement, usTLD Administrator hereby grants Registrar and Registrar accepts a non-exclusive, non-transferable, worldwide limited license to use for the Term and purposes of this Agreement, all components owned by or licensed to usTLD Administrator in and to the RRP, APIs, any reference client software and any other intellectual property included in the Registrar Tool Kit, as well as updates and redesigns thereof, to provide domain name registration services in the usTLD only and for no other purpose.
