Registration and Filings. Save for the filings set out in 2(v) above, no filing, registration or recording of the Document is necessary under the laws of Ireland as a condition of the legality, validity, admissibility in evidence or enforceability of the Document against a Company.
Registration and Filings. Lessee shall:
(a) not do anything that might reasonably be expected to adversely affect the registration of the Aircraft with the Aviation Authority reflecting (so far as permitted by Applicable Law) the respective interests of the Lessor and Mortgagee; and
(b) do all acts and things (including making any filing or registration with the Aviation Authority or any other Government Entity) and executing and delivering all documents (including any amendment of this Agreement) as may be required by the Lessor following any modification of the Aircraft, any Engine or any Part or the permanent replacement of any Engine or Part in accordance with this Agreement, so as to ensure that the respective rights of the Lessor and Mortgagee under this Agreement apply with the same effect as before.
Registration and Filings. Lessor shall, at Xxxxxx’s cost:
(a) take all actions reasonably requested by Lessee to enable Lessee to perform its obligations under Section 8.10 regarding the registration of the Aircraft with the Aviation Authority, and not do or suffer to be done anything which might reasonably be expected to adversely affect that registration; and
(b) do all acts and things (including making any filing or registration with the Aviation Authority or any other Government Entity) as may be required following any change in the ownership or financing of the Aircraft.

(a) maintain the registration of the Aircraft with the Aviation Authority reflecting (so far as permitted by applicable law) the respective interests of the Lessor and the Lender and not do or suffer to be done anything which might reasonably be expected to adversely affect that registration; and
(b) do all acts and things (including making any filing or registration with the Aviation Authority or any other Government Entity) as may be required following any change in the ownership or financing of the Aircraft.

(a) Lessee shall at its cost maintain the registration of the Aircraft with the Aviation Authority reflecting (so far as permitted by Applicable Law) the interests of Owner and any Financing Party notified in writing by Lessor to Lessee and not do or suffer to be done anything which might reasonably be expected to adversely affect that registration;
(b) Lessee shall do all acts and things (including making any filing or registration with the Aviation Authority or any other Government Entity) and execute and deliver all documents (including any amendment of this Agreement) as may be required by Lessor: (i) following any change or proposed change in the ownership or financing of the Aircraft or in the manner of securing Owner's or Lessor's obligations to the Financing Parties, at Lessor’s cost; (ii) following any modification of the Aircraft, any Engine or any Part or the permanent replacement of any Engine or Part in accordance with this Agreement, so as to ensure that the respective rights of Owner, Lessor and any Financing Party under this Agreement apply with the same effect as before, at Lessee’s cost; or (iii) to establish, maintain, preserve, perfect and protect the respective rights of Owner, Lessor and any Financing Party under this Agreement and in and to the Aircraft, at Lessor’s cost; and (c) without limitation to the generality of Section 8.10(b) above, if at any time in the State of Registration there shall be, or be brought into force, any legislative or other provisions giving effect to the Geneva Convention of 1948 or the Cape Town Convention or otherwise relating to the recognition of rights in aircraft, or if at any time the Cape Town Convention is brought into force or made applicable in any country where Lessee is "situated" for purposes of the Cape Town Convention, do and join with Lessor in doing all such acts and executing and delivering all such documents as may be necessary or advisable to perfect Owner's and Xxxxxx's respective title and interests in, and the interests of any Financing Party in, the Aircraft and the Operative Documents in accordance with such legislative or other provisions. Lessee hereby irrevocably consents to the registration of this Agreement as an "international interest" under the Cape Town Convention.
Registration and Filings. Each of the Obligors shall have authorized the Notes Collateral Agent to file UCC financing statements in respect of the security interests created by the Pledge Agreement in the office of each appropriate Governmental Authority if such filings are necessary or appropriate in such jurisdictions.
Registration and Filings. As soon as practicable after Completion, and in any event within five (5) Business Days of Completion,
7.4.1 the Company shall duly file the Restated Articles and the related shareholder resolutions with the Companies House in the United Kingdom and make or cause to be made filings with respect to the allotment and issue of the Subscription Shares to the Investor and the appointment of Investor Directors with the Companies House in the United Kingdom;
7.4.2 the Company shall obtain or cause to be obtained all such approvals, procedures and registration required by the relevant Authorities to give effect to the Security Documents; and
7.4.3 the Company shall provide the Investor with evidence showing that any instruments or documents under all jurisdictions as may be necessary or, in the opinion of the Investor, desirable to perfect the security created in favour of the Security Agent or the Investor (as the case may be) pursuant to the Security Documents have been filed (in addition to those filings as specified in the Security Documents which are to be effected in accordance with the terms of the Security Documents).

Evidence that on the Delivery Date the Aircraft has been validly registered under the laws of the Jurisdiction of Registration and that all filings, registrations, recordings and other actions have been taken which are necessary or advisable to ensure the validity, effectiveness and enforceability of this Agreement and the other Lessee Documents and to protect the property rights of Lessor in the Aircraft, including, but not limited to, filing UCC financing statements executed by Lessee in the state of Florida and the District of Columbia;

Purchaser shall be responsible at its own expense for obtaining and maintaining any governmental and other licences, approvals, consents, certificates, exemptions, registrations and filings necessary for the ownership, leasing, registration, maintenance, use or operation of the Aircraft after Delivery.
