REGISTRATION OF LICENSES. COMPANY will register and give required notice concerning this Agreement, at its expense, in each country in the Territory where an obligation under law exists to so register or give notice.

Upon request by Licensee, Licensor agrees to promptly execute any "short form" licenses in a form submitted to it by Licensee in order to effectuate the foregoing registration in each such country.
REGISTRATION OF LICENSES. Astellas may, at its sole discretion and at its own expense, register the exclusive and other licenses granted to it under this Agreement with the patent office or any other competent authorities in any country of the Territory in accordance with the Applicable Laws in such country, and Ambit shall, promptly upon Astellas’s request, provide Astellas with assistance necessary for such registration, including applying for such registration for Astellas and signing all necessary documents. Astellas will provide Ambit with a list and description, updated as appropriate, of the licenses it registers pursuant to this Section 8.7.
REGISTRATION OF LICENSES. Bayer agrees to register and give required notice concerning this Agreement, through itself and/or through its Affiliates, in each country where there exists a valid claim within the Patent Rights and an obligation under Applicable Law to so register and/or give notice and to pay all costs and legal fees connected therewith and shall otherwise comply with all Applicable Laws. Maxygen shall, and shall cause its Affiliates to, reasonably cooperate with Bayer to comply with the obligations under this Section 12.2 including executing any documents and taking additional actions as Bayer may reasonably request in connection therewith. If filing of a short form license setting forth the Patent Rights licensed and scope of the license is acceptable for filing, in lieu of this full Agreement, in any such country, the Parties agree to use reasonable efforts to cooperate to prepare such a short form license for such filing. In connection with the filing of this Agreement and/or any corresponding short form license, the Parties shall reasonably cooperate and use reasonable efforts to redact and/or remove confidential and/or sensitive information of either Party.

NEWCO agrees to register or give required notice concerning this Agreement, through itself or through a sublicensee, in each country of the Territory where there exists a Valid Claim and an obligation under law to so register or give notice, to pay all costs and legal fees connected therewith and shall otherwise comply with all national laws applicable to this Agreement.
REGISTRATION OF LICENSES. Notwithstanding anything to the contrary in Article 6, Licensee may register the licenses granted under this Agreement in any country of the world, following the ASBTi Effective Event or TGR5 Effective Event, as applicable. Upon request by Licensee, Satiogen agrees promptly to execute any “short form” licenses consistent with the terms and conditions of this Agreement submitted to it by Licensee reasonably necessary to effect the foregoing registration in such country.

Each Party and each Party’s Sublicensees shall have the right to register – to the extent possible under the respectively applicable Laws – the licenses granted under Sections 2.1 and 2.4 and sublicenses granted under such licenses in the respectively relevant registers. Upon the other Party’s or the other Party’s Sublicensee’s request each Party shall provide to the other Party or the other Party’s Sublicensee and execute all documents and instruments that may be required to perfect such registration of a license.
