Regulatory Supervision or Penalty. The receipt of notice from any Governmental Authority having jurisdiction over the Borrower that (A) the Borrower is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of the Borrower’s business or the Mortgaged Properties is to be suspended or revoked or (C) the Borrower is to cease and desist any practice, procedure or policy employed by the Borrower, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect;
Regulatory Supervision or Penalty. The receipt of notice from any Governmental Authority having jurisdiction over the Borrower Party that (A) the Borrower Party is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of the Borrower Party's business or the Mortgaged Properties is to be suspended or revoked or (C) the Borrower Party is to cease and desist any practice, procedure or policy employed by the Borrower Party, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect;

The receipt of notice from any Governmental Authority having jurisdiction over Guarantor that (A) Guarantor is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of Guarantor’s business or the Mortgaged Properties is to be suspended or revoked or (C) Guarantor is to cease and desist any practice, procedure or policy employed by Guarantor, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect;
Regulatory Supervision or Penalty. The receipt of notice from any Official Body having jurisdiction over Borrower that (A) Borrower is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of Borrower’s business or the Collateral Pool Properties is to be suspended or revoked or (C) Borrower is to cease and desist any practice, procedure or policy employed by Borrower, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Change;
Regulatory Supervision or Penalty. The commencement of any rulemaking or disciplinary proceeding or the promulgation of any proposed or final rule which would have, or may reasonably be expected to have, a Material Adverse Effect; the receipt of notice from any Governmental Authority having jurisdiction over Borrower or Operator that (A) Borrower or Operator is being placed under regulatory supervision, (B) any License, Permit, charter, membership or registration material to the conduct of Borrower’s or Operator’s business or the Mortgaged Properties is to be suspended or revoked or (C) Borrower or Operator is to cease and desist any practice, procedure or policy employed by Borrower or Operator in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect;
Regulatory Supervision or Penalty. The receipt of notice from any Governmental Authority having jurisdiction over Owner, General Partner or any Guarantor that (A) Owner, General Partner or any Guarantor is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of Owner's or any Guarantor's respective business or the Properties is to be suspended or revoked or (C) Owner, General Partner or any Guarantor is to cease and desist any practice, procedure or policy employed by Owner, General Partner or such Guarantor, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect or would adversely affect the tax-exempt status of the interest on any Bonds; and

The receipt of notice from any agency or Governmental Authority having authority over the conduct of its business that (A) it is being placed under regulatory supervision, (B) any license, permit, charter, membership or registration material to the conduct of its business is to be suspended or revoked or (C) it is to cease and desist any practice, procedure or policy employed by it in the conduct of its business, and such cessation would have a material adverse effect upon its present or future ability to perform its obligations under the Loan Documents to which it is a party; and

The receipt of notice from any Governmental Authority having jurisdiction over the AIMCO Party that (A) the AIMCO Party is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of the AIMCO Party's respective business or the Mortgaged Properties is to be suspended or revoked or (C) the AIMCO Party is to cease and desist any practice, procedure or policy employed by the AIMCO Party, as the case may be, in the conduct of its business, and such cessation would have, or may reasonably be expected to have, a Material Adverse Effect upon any AIMCO Party;

The receipt of notice from any Governmental Authority having jurisdiction over any EQR Party that (A) such EQR Party is being placed under regulatory supervision, (B) any license, Permit, charter, membership or registration material to the conduct of such EQR Party’s respective business or the operation of the Mortgaged Properties is to be suspended or revoked, where such suspension or revocation would have a Material Adverse Effect on such EQR Party, or (C) such EQR Party is to cease and desist any practice, procedure or policy employed by such EQR Party, as the case may be, in the conduct of its business, and such cessation would have a Material Adverse Effect on such EQR Party;
