Reimbursement for Legal Expenses. The Company shall pay the reasonable legal fees and expenses of counsel to Castle Creek, not to exceed $75,000, incurred by Castle Creek in connection with the transactions contemplated by the Transaction Documents, which amount shall be paid directly by the Company to counsel for Castle Creek at the Closing.
Reimbursement for Legal Expenses. Borrowers agree to reimburse each Lender Party, promptly on demand therefor, for any costs and expenses, including legal fees, incurred by such Lender Party in connection with the drafting, negotiation, execution and closing of this Agreement.

The Company will reimburse the Executive for his reasonable attorneys’ fees and costs incurred in the negotiation and preparation of this Agreement, the Second Amendment to Employment Agreement effective May 24, 2016, and any future amendments or extensions of this Agreement. Reimbursement of an expense under this Section 3(h) will be made within ten (10) days of the Company’s receipt of the Executive’s request for payment or reimbursement.

Reimbursement for Legal Expenses. The Company shall pay the reasonable legal fees and expenses of counsel to TFO, not to exceed $20,000, incurred by TFO in connection with the transactions contemplated by the Transaction Documents, which amount shall be paid directly by the Company to counsel for TFO at the Closing or paid by the Company to such counsel upon termination of this Agreement so long as such termination did not occur as a result of a material breach by TFO of any of their obligations hereunder (as the case may be).
