Reimbursement of Trust Litigation Costs. If the Liquidating Trustee or the Liquidating Trust, as the case may be, is the prevailing party in a dispute with the parties hereto regarding the provisions of this Liquidating Trust Agreement or the enforcement thereof, the Liquidating Trustee, the Plan Advisory Committee or the Liquidating Trust, as the case may be, shall be entitled to collect any and all costs, reasonable and documented out-of-pocket expenses and fees, including attorneys’ fees, from the non-prevailing party incurred in connection with such dispute or enforcement action. To the extent that the Liquidating Trust has advanced such amounts, the Liquidating Trust may recover such amounts from the non-prevailing party. If, in connection with the reasonable exercise of their respective duties, litigation should arise between the Liquidating Trustee and the Plan Advisory Committee, the Liquidating Trust shall reimburse the parties for their reasonable costs incurred in connection with such litigation.

  • Litigation Costs If any legal action or other proceeding is brought for the enforcement of this Agreement or to remedy its breach, the prevailing party in such action or proceeding shall be entitled to recover its actual attorney's fees and other costs incurred in the action or proceeding, in addition to such other relief to which it may be entitled.

  • REIMBURSEMENT OF FEES AND COSTS The Parties acknowledge that Xxxxxxxx and his counsel offered to reach preliminary agreement on the material terms of this dispute before reaching terms on the amount of fees and costs to be reimbursed to them.   • Administration Costs The Borrower shall pay the Bank for all reasonable costs incurred by the Bank in connection with administering this Agreement.
