Reimbursement Payments and Interest. The Borrower hereby agrees to pay or cause to be paid to the Bank: (1) a sum equal to the issuance fee and each commitment fee payable by the Bank to the Letter of Credit Bank under Section 2.04 or 2.05 of the Participating Bank Agreement, on the earlier of (i) the day such commitment fee becomes due and payable by the Bank or (ii) the day such commitment fee is actually paid by the Bank; (2) a sum equal to each amount drawn under the Letter of Credit by an Interest Drawing, a Principal Drawing or a Final Payment Drawing, on the earlier of (i) the day reimbursement for such amount becomes due and payable by the Bank to the Letter of Credit Bank under Section 2.02 of the Participating Bank Agreement or any other provision of the Participating Bank Agreement or (ii) the day reimbursement for such amount is actually made by or on behalf of the Bank to the Letter of Credit Bank; (3) a sum equal to each amount drawn against the Interest Component of the Letter of Credit Amount by a Liquidity Drawing (A) in the case of any such amount drawn on an Interest Payment Date (as defined in the Indenture) of the Bonds being purchased with the proceeds of such Liquidity Drawing, on the same Business Day that such amount is so drawn, and (B) in all other cases, on the first to occur of (i) the first Business Day of the first calendar month following the calendar month in which said amount is so drawn, (ii) the date on which the Bonds purchased with the proceeds of such Liquidity Drawing are remarketed by the Remarketing Advisor and the proceeds thereof delivered to the Trustee, (iii) the date on which the Bonds purchased with the proceeds of such Liquidity Drawing are redeemed or otherwise paid in full, or (iv) the Expiration Date; (4) a sum equal to each amount drawn against the Principal Component of the Letter of Credit Amount by a Liquidity Drawing, on the first to occur of (i) the date on which the Bonds purchased with the proceeds of such Liquidity Drawing are remarketed by the Remarketing Advisor and the proceeds thereof are delivered to the Trustee, (ii) the date on which the Bonds purchased with the proceeds of such Liquidity Drawing are redeemed or otherwise paid in full, or (iii) the Expiration Date; (5) a sum equal to each drawing fee and each transfer fee payable by the Bank to Letter of Credit Bank under Section 2.06 of the Participating Bank Agreement, on the day that such drawing fee or transfer fee becomes due and payable by the Bank; (6) a sum equal to e...

Reimbursement Payments and Interest. The Company hereby agrees to pay or to cause to be paid to the Bank: (1) a sum equal to each amount drawn under the Letter of Credit by a Principal Drawing or an Interest Drawing on the same Business Day that such drawing is honored, but not before the drawing is honored. (2) a sum equal to each amount drawn against the Principal Component by a Tender Draft, on or before the first to occur of (i) the date on which the Bonds purchased with the proceeds of such Tender Draft are remarketed by the Remarketing Agent, (ii) the date on which the Bonds purchased with the proceeds of such Tender Draft are redeemed or otherwise paid in full, or (iii) the Termination Date. Subject to Section 2.02(b) hereof, all sums payable to the Bank under Section 2.02(a)(1) or under any other provision of this Agreement shall bear interest at the Bank Interest Rate, and all sums payable to the Bank under Section 2.02(a)(2) shall bear interest at the rate and at the times set forth in the Credit Agreement, until such sums have been paid in full (it being understood and agreed that any sum paid by the Company to the Bank prior to 3:00 p.m. on a Business Day shall not bear interest for such Business Day and any sum paid by the Company to the Bank after 3:00 p.m. on a Business Day shall bear interest as if it was paid at 9:00 a.m. on the next following Business Day). Except as the Bank may otherwise elect, all payments by or on behalf of the Company under this Section 2.02(a) shall be applied first to the payment of interest and then to the payment of principal.

  • Payments and Interest Payments required of PURCHASER by this contract or modifications of this contract, other than those in Sections 13 and 42, shall be received by STATE within the time period stated on the instrument requesting payment from PURCHASER. Payments received after the due date stated on the billing instrument may be subject to an interest charge. The interest rate applied to overdue payments shall be the prime interest rate in effect on the day the payment became delinquent, as established by U.S. Bank, Xxxx and Xxxx Branch, plus 4 percent.   • Reimbursement Payments The Department shall, to the extent funds are available, reimburse the Grantee for eligible claims presented for payment if the Department determines the requirements for reimbursement have been met. Claims under this Contract can only be made for the period this Contract is in effect. Reimbursement programs include the following: 4.3.1. Title IV-E Federal Xxxxxx Care Program (Grant “E”). In accordance with the requirements detailed in the specific grant requirements, the Department shall reimburse the Grantee under Xxxxx E the maximum federal dollar share for the following: xxxxxx care maintenance claims for eligible juvenile probation children, dir ect administrative claims, and enhanced administrative claims. Upon review and approval of supporting documentation, the Department shall reimburse the Grantee as requests for reimbursement are presented for payment provided there is sufficient Title IV-E grant award authority against which to process presented claims and providing said funds are being reimbursed to the Department by Texas Department of Family and Protective Services (TDFPS) via the interagency agreement. To be eligible for reimbursement, all costs must be reasonable, allowable, and properly allocated for support of the xxxxxx care program. A direct or enhanced administrative claim is not eligible for reimbursement if the basis of the claim has funding from any other federal source. 4.3.2. JJAEP Program (Grant "P"). Grantees eligible for reimbursements under Xxxxx X shall receive a share of the initial $1,500,000 distribution based on each Grantee's share of the total juvenile population for each school year for the current contract period. Additional funds will be distributed at a rate not to exceed $96 per eligible student attendance day for students who are required to be expelled pursuant to Chapter 37 of the Texas Education Code and who meet the Targeted Grant requirements. The Grantee will not be able to receive the additional funds until the initial amount allocated is earned at the rate of $86 per eligible student attendance day. Payments to the Grantee by the Department shall be limited to no more than 180 days of operation during each regular school year for the current contract period.

  • Payment and Interest The amount determined payable pursuant to the decision, less any portion already paid, normally should be paid without awaiting Contractor action concerning appeal. Such payments shall be without prejudice to the rights of either party. Interest on amounts ultimately determined to be due to a Contractor shall be payable at the Statutory rate applicable to judgments against the State under Chapter 662, HRS from the date of receipt of a properly certified final written statement of actual adjustment required until the date of decision; except, however, that if an action is initiated in circuit court, interest under this Section 7.25, DISPUTES AND CLAIMS (§3-126-31 HAR) shall only be calculated until the time such action is initiated.   • Sharing of Reimbursement Obligation Payments Whenever the Agent receives a payment from the Borrower on account of reimbursement obligations in respect of a Letter of Credit or Credit Support as to which the Agent has previously received for the account of the Letter of Credit Issuer thereof payment from a Lender, the Agent shall promptly pay to such Lender such Lender’s Pro Rata Share of such payment from the Borrower. Each such payment shall be made by the Agent on the next Settlement Date.

  • Breakage Payments In the event of (a) the payment or prepayment, whether optional or mandatory, of any principal of any Eurodollar Loan earlier than the last day of an Interest Period applicable thereto (including as a result of an Event of Default), (b) the conversion of any Eurodollar Loan earlier than the last day of the Interest Period applicable thereto, (c) the failure to borrow, convert, continue or prepay any Revolving Loan or Term Loan on the date specified in any notice delivered pursuant hereto or (d) the assignment of any Eurodollar Loan earlier than the last day of the Interest Period applicable thereto as a result of a request by Borrower pursuant to Section 2.16(b), then, in any such event, Borrower shall compensate each Lender for the loss, cost and expense attributable to such event. In the case of a Eurodollar Loan, such loss, cost or expense to any Lender shall be deemed to include an amount determined by such Lender to be the excess, if any, of (i) the amount of interest which would have accrued on the principal amount of such Loan had such event not occurred, at the Adjusted LIBOR Rate that would have been applicable to such Loan, for the period from the date of such event to the last day of the then current Interest Period therefor (or, in the case of a failure to borrow, convert or continue, for the period that would have been the Interest Period for such Loan), over (ii) the amount of interest which would accrue on such principal amount for such period at the interest rate which such Lender would bid were it to bid, at the commencement of such period, for dollar deposits of a comparable amount and period from other banks in the Eurodollar market. A certificate of any Lender setting forth in reasonable detail any amount or amounts that such Lender is entitled to receive pursuant to this Section 2.13 shall be delivered to Borrower (with a copy to the Administrative Agent) and shall be conclusive and binding absent manifest error. Borrower shall pay such Lender the amount shown as due on any such certificate within 5 days after receipt thereof.

  • Distributions and Interest Amount (i) Interest Rate. "Interest Rate" for any day means, the Federal Funds Overnight Rate. For the purposes hereof, "Federal Funds Overnight Rate" means, for any day, an interest rate per annum equal to the rate published as the Federal Funds Effective Rate that appears on Telerate Page 118 for such day.
