Relationship to Security Agreement. This Note shall be entitled to the benefits of, shall be construed in accordance with any Security Agreement securing the Indebtedness.
Relationship to Security Agreement. Any and all rights and interests of the Administrative Agent in and to the Patents and Trademarks (and any and all obligations of the Borrower with respect to the same) provided herein, or arising hereunder or in connection herewith, shall only supplement and be cumulative and in addition to the rights and interests of the Administrative Agent (and the obligations of the Borrower) in, to or with respect to the Collateral provided in or arising under or in connection with the Security Agreement and shall not be in derogation thereof.
Relationship to Security Agreement. This Note is the Note referred to in the Security Agreements (the “Security Agreements”) dated as of the date hereof by and between each Issuer Party, Precision, and Holder. This Note is entitled to the benefits of, shall be construed in accordance with, and is secured by the liens and security interests granted in the Security Agreement.
Relationship to Security Agreement. The Copyright Collateral shall constitute Company Collateral for all purposes of the Company Security Agreement and the other Loan Documents and the Administrative Agent shall have all rights, powers and remedies with respect to the Copyright Collateral to the same extent as they have with respect to other Company Collateral. Reference is hereby made to the Company Security Agreement, the terms and conditions of which are incorporated herein by this reference.
Relationship to Security Agreement. Concurrently herewith, Trustor is entering into the Security Agreement with Beneficiary with respect to the Personal Property. As provided above, the terms of said Security Agreement shall, with respect to the Personal Property and the security interest therein granted hereby, supplement the terms of this Deed of Trust and, if and to the extent of any conflict with the terms hereof applicable to said security interest and Personal Property, shall, to the extent enforceable, control. Nothing in this Section 44 shall be deemed or construed, however, to impair the rights of Beneficiary to conduct one or more Trustee's Sales at which real and personal property are sold together pursuant to the laws applicable to the sale of real property.
Relationship to Security Agreement. Concurrently herewith, Mortgagor is entering into the Security Agreement with Mortgagee with respect to the Personal Property. As provided above, the terms of said Security Agreement shall, with respect to the Personal Property and the security interest therein granted hereby, supplement the terms of this Mortgage and, if and to the extent of any conflict with the terms hereof applicable to said security interest and Personal Property, shall, to the extent enforceable, control. Nothing in this Section 41 shall be deemed or construed, however, to impair the rights of Mortgagee to conduct one or more Mortgagee's Sales at which real and personal property are sold together pursuant to the laws applicable to the sale of real property.
Relationship to Security Agreement. Concurrently herewith, Trustor is entering into the Security Agreement with Beneficiary with respect to the Personal Property. As provided above, the terms of said Security Agreement shall, with respect to the Personal Property and the security interest therein granted, supplement the terms of this Deed of Trust and, if and to the extent of any conflict with the terms hereof applicable to said security interest and Personal Property, shall, to the extent enforceable, control. Nothing in this Section 43 shall be deemed or construed, however, to impair the rights of Beneficiary to conduct one or more Trustee’s Sales at which real and personal property are sold together pursuant to the laws applicable to the sale of real property. Notwithstanding this Section 43, or any other provision contained in this Deed of Trust, Beneficiary shall at all times be the same person that is Trustee under the Indenture and shall be entitled to all of the rights of the Trustee specified in the Indenture, including Section 7.02 thereof, in carrying out its duties hereunder.
Relationship to Security Agreement. This Note shall be entitled to the benefits of, shall be construed in accordance with the security granted by the Issuer to the Holder under the Second Amended and Restated Security Agreement by and between the Holder, Issuer, Xxxxxx Xxxxx Mining Corporation (“Xxxxxx Xxxxx”) and Xxxxxxx Gold Producers, Inc. (“Xxxxxxx Gold”) dated on or around the date hereof (the "Security Agreement"), the Third Amended and Restated Pledge Agreement by and between Holder, Issuer, Xxxxxx Xxxxx and Xxxxxxx Gold (the “Pledge Agreement”) dated on or around the date hereof, and any other security agreements identified in the Investment Documents. The Holder agrees and acknowledges that it has no other security over the assets of or otherwise in relation to China Global Mining Resources (BVI) Limited and any of its subsidiary undertakings from time to time other than specifically referenced in, and as limited by, the terms of the Security Agreement and Pledge Agreement.
Relationship to Security Agreement. The Trademark Collateral shall constitute Collateral for all purposes of the Security Agreement and the other Loan Documents and after the occurrence and during the continuance of an Event of Default Administrative Agent shall have all rights, powers and remedies with respect to the Trademark Collateral to the same extent as they have with respect to other Collateral.
