Release and Waiver; Definitions. Xxxxxx, on behalf of himself and the other Executive Releasors, releases and forever discharges the Company and the other Company Releasees from any and all Claims which Xxxxxx now has or claims, or might hereafter have or claim (or the other Executive Releasors may have, to the extent that it is derived from a Claim which Xxxxxx may have), against the Company Releasees based upon or arising out of any matter or thing whatsoever, occurring or arising on or before the date of this Agreement, including but not limited to, Claims arising out of or related to Xxxxxx’x employment by the Company and its Affiliates (including, without limitation, his employment as President and Chief Operating Officer) and/or his service as a director of the Company or its Affiliates and/or Xxxxxx’x termination or resignation from such employment or service. However, nothing in this Release and Waiver shall constitute a release of any Claims of Xxxxxx (or other Executive Releasors) that may arise under this Agreement; or purport to release any claims which may not lawfully be released. For purposes of this Release and Waiver, the terms set forth below shall have the following meanings:

Release and Waiver; Definitions. Except for a claim based on Xxxxxx’x willful misconduct, a claim based on Xxxxxx’x willful violation of a state or federal law, or a claim for a breach of this Agreement, the Company, for and on behalf of itself and the other Company Releasors, releases and forever discharges Xxxxxx and the other Executive Releasees from any and all Claims based upon or arising out of any matter or thing whatsoever alleged to cause damage to the Company, occurring or arising on or before the date of this Agreement, including but not limited to, Claims arising out of or relating to Xxxxxx’x employment by the Company and its Affiliates (including, without limitation, his employment as President and Chief Operating Officer) and/or his service as a director of the Company or its Affiliates and/or Xxxxxx’x termination or resignation from such employment or service, and shall include, without limitation, Claims arising out of or relating to expense reimbursements to Xxxxxx and Claims arising out of or relating to repayment of amounts forgiven in Section 2.6 of this Agreement.
