RELEASE FOR DELIVERY. In addition to other conditions set forth in this Agreement, prior to Seller performing any Equipment export packing and prior to actual shipment, Seller shall, at least seven (7) Days in advance, request in writing to Purchaser's Quality Assurance Manager for release to ship such Equipment. Purchaser's approval shall not be unreasonably withheld provided Seller has met the requirements of this Agreement. ARTICLE X.
RELEASE FOR DELIVERY. The Supplier is responsible for sending samples in a timely manner and acquiring the necessary releases from Buyer. With regard to releases, the following distinctions must be made: • The initial sample release serves only to allow invoicing of tooling costs; it does not authorise man- ufacture and delivery. Buyer thus enables its Supplier to submit tooling invoices sheet early on. The Supplier must attach Buyer initial sample release to the invoice. • A separate written delivery release must be obtained from Buyer for manufacture and delivery as long as this is recorded on the PPAP/PPA/PPF. As a rule, this release is not issued until the func- tional tests on the assembly part have been completed at Buyer facility or at the customer’s location. Both mentioned releases are issued by Buyer quality department.

  • Rejection of Deliverables The Department reserves the right to reject deliverables, as outlined in the Grant Work Plan, as incomplete, inadequate, or unacceptable due, in whole or in part, to Xxxxxxx’s lack of satisfactory performance under the terms of this Agreement. The Grantee’s efforts to correct the rejected deliverables will be at Xxxxxxx’s sole expense. Failure to fulfill the applicable technical requirements or complete all tasks or activities in accordance with the Grant Work Plan will result in rejection of the deliverable and the associated invoice. Payment for the rejected deliverable will not be issued unless the rejected deliverable is made acceptable to Department in accordance with the Agreement requirements. The Department, at its option, may allow additional time within which Grantee may remedy the objections noted by Department. The Grantee’s failure to make adequate or acceptable deliverables after a reasonable opportunity to do so shall constitute an event of default.
