Reliance by the Parties. The Parties understand that each is relying upon all of the promises made by the other in this Agreement, and each agrees (i) not to assert to any court or other body the invalidity or unenforceability of any portion of this Agreement; (ii) to promptly notify the other Party of any legal action which might affect this Agreement; (iii) to allow the other Party to participate in such legal action as the other Party deems appropriate; and (iv) to defend this Agreement in such legal action.

Reliance by the Parties. Each Party agrees that they have not relied upon any representation or warranty by the other Party, including any employee, representative or agent of the other Party, as being material or important to such Party’s decision to enter into this Agreement, and that the only representations and warranties that were material or important to each of the Parties are those contained within this Agreement. Reliance by the Parties. The parties state that either of them may make advances of money or property or take actions affecting his or her property while this divorce is pending. They are acting in good faith and in reliance on this Marital Settlement Agreement. If this agreement is rejected by either party prior to final hearing, or is not approved by the court in making any property division or other order, the court should give substantial weight to any detrimental reliance by either or both parties on this agreement. This means the court shall consider the fact that one or both parties has suffered loss due to reliance on the document.
Reliance by the Parties. City acknowledges that Developer is relying on the execution and continuing validity of this Agreement, the conditions set forth in this Agreement, and the land use entitlements derived from this Agreement and the fully approved Firelight Conceptual MPDO Plan and Firelight Preliminary Site Plan as they relate to the Subject Property and any After Acquired Property. Developer has expended substantial funds in the planning, design and engineering for the Firelight Community and the Toquerville Parkway, in reliance upon this Agreement and will continue to expend substantial funds in the actual construction of the Public Facilities and site improvements within the Firelight Community. Conversely, Developer acknowledges that City is relying on the execution and continuing validity of this Agreement and Developer’s faithful performance of its covenants and obligations under this Agreement, the Firelight Conceptual MPDO Plan and the Firelight Preliminary Site Plan in granting the land use entitlements contained herein.
Reliance by the Parties. This Agreement is intended by Owner to be considered by Ketchum as part of Owner’s application for a modification of the existing design review approval and building permits for the Project, and such other applications as Owner may submit in connection with the Project. Owner acknowledges and intends the City to consider and rely upon this Agreement in its review and consideration of said applications.

Reliance by the Parties. Each party acknowledges and agrees with the other that it has entered into this Agreement relying on the representations, warranties and covenants of the other and on the other terms and conditions of this Agreement, notwithstanding any independent searches or investigations that may be undertaken by or on behalf of the party and that no information which is now known or should be known or which may hereafter become known to the party or its officers, directors or professional advisers will limit or extinguish any rights which the party may have at law in respect of a breach or non-compliance of such provisions by another party to this Agreement.
Reliance by the Parties. The representations, warranties, covenants and undertakings of each Party contained in this Agreement shall: (i) be deemed to have been relied upon by each other Party; (ii) bind the successors and assigns of such Party, whether so expressed or not, and all such representations, warranties, covenants and undertakings shall inure to the benefit of the other Parties and their respective successors and assigns; and (iii) survive the Effective Date.
Reliance by the Parties. The Parties have specifically relied upon this Article 8 in agreeing to the Purchase Price and in agreeing to provide the specific representations and warranties set forth herein. Exh. 2.1-52
