Reliance on and Survival of Representations and Warranties. All representations and warranties of the parties in this Agreement, and in any of the certificates, documents or other agreements delivered in connection with this Agreement, will: (a) be deemed to have been relied upon by the parties, notwithstanding any investigation hereto or hereafter made by any party; and (b) will survive the execution and delivery of this Agreement.
Reliance on and Survival of Representations and Warranties. (a) All of the representations and warranties of the Loan Parties contained in the Loan Documents or in any certificates or other instruments delivered by any Loan Party at or after the Closing pursuant to any Loan Document shall (i) survive the execution and delivery of this Agreement, the Notes and the other Loan Documents, the transfer by the Purchasers of any Note or portion thereof or interest therein and the payment of any Note, and may be relied upon by the Purchasers or any Transferee, regardless of any investigation made at any time by or on behalf of the Purchasers, any Transferee or any other Person and (ii) be deemed to be material and to have been relied upon by each Holder, notwithstanding any investigation heretofore or hereafter made by or on behalf of any Holder.
Reliance on and Survival of Representations and Warranties. (a) Notwithstanding any investigation by Purchaser, or any information obtained pursuant thereto, Purchaser shall be entitled to rely upon the representations and warranties of Seller contained in this Agreement or any other agreement, document, certificate, exhibit, or other instrument delivered pursuant hereto, and upon its representations at Closing as to compliance with or performance of any covenants made by it herein or therein and as to satisfaction of any conditions precedent to the obligations of Purchaser hereunder.

Each of the representations and warranties contained herein shall survive the execution and delivery of this letter agreement and each closing indefinitely.
Reliance on and Survival of Representations and Warranties. Notwithstanding any investigation at any time conducted by any of the parties hereto, each of the parties hereto shall be entitled to rely on the representation and warranties of the other party set forth herein. All representations and warranties set forth in this Agreement shall survive the execution and delivery of this Agreement.
Reliance on and Survival of Representations and Warranties. Notwithstanding any knowledge of facts determined or determinable by any party by investigation, each party shall have the right to fully rely on the representations and warranties of the other parties contained in this Agreement or in any other documents or certificates delivered in connection herewith. Each representation and warranty contained in this Agreement is independent of each other representation and warranty. None of the representation, warranties, or covenants in this Agreement or in any Schedule, certificate, or other document delivered pursuant to this Agreement shall survive beyond the Effective Time, except for the agreements in Article I (The Merger), Article II (Conversion of Securities; Exchange of Certificates), Section 7.7 (Tax Treatment), Section 7.8 (Indemnification of Officers and Directors), Section 7.9 (Further Assurances), and Section 10.8 (Governing Law), and for those set forth in the Affiliate letters required under Sections 5.4 and 6.5, the Covenant Letter, the Employment Agreements and the Voting Agreements.
Reliance on and Survival of Representations and Warranties. (a) Notwithstanding any investigation by Buyer or Diginet, or any information obtained pursuant thereto, Buyer and Diginet shall be entitled to rely upon the representations and warranties of the Company and Sellers contained in this Agreement or any other agreement, document, certificate, exhibit, or other instrument delivered pursuant hereto, and upon their respective representations at Closing as to compliance with or performance of any covenants made by it herein or therein and as to satisfaction of any conditions precedent to the obligations of Buyer or Diginet.
