Remedies for Early Termination. In the event of Termination pursuant to Section 8, Base Salary shall be paid as follows:
9.01 In the event of termination for Cause (Section 8.01(c)), Base Salary shall continue to be paid on a bi-weekly basis prorated through the date of termination specified in any notice of termination.
9.02 In the event of termination pursuant to Section 8.01(e), compensation shall continue to be paid as follows: if the notice of termination is given by Executive at any time, Base Salary shall continue to be paid on a bi-weekly basis prorated through the date of termination specified in such notice (not to exceed two weeks’ pay or such greater period as determined in the sole discretion of the Company) and thereafter Executive shall be entitled to such benefits accrued as of the date of termination to the extent required by law.
9.03 In the event of termination of this Agreement by reason of Executive’s death (Section 8.01(a)), the Executive’s designated beneficiary or, in the absence of such designation, the Executive’s estate shall be entitled to benefits, if any, payable under any life insurance program maintained by the Company.
9.04 In the event of disability (Section 8.01(b)), the Company shall continue to pay Base Salary to the Executive until the earlier of such time as the Executive is determined to be eligible for long-term disability benefits, if any, under any disability benefit plan of the Company then in effect, or the end of the sixth (6th) month following the month in which the event causing the disability occurred.
9.05 In the event of termination without Cause pursuant to Section 8.01(d), compensation shall continue to be paid as follows:
(a) Executive shall be entitled to the balance of Base Salary due from the date of termination until the earlier of the end of twelve (12) months thereafter or the end of the term of this agreement set forth in Section 2. Such Base Salary shall continue to be paid on a bi-weekly basis prorated through the end of the applicable payment period referenced immediately above; and
(b) Executive shall be entitled to such benefits accrued as of the date of termination to the extent required by law.
Remedies for Early Termination. If Prizm terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then Prizm shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to Prizm had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, and nothing more.
Remedies for Early Termination. If Prodigy terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then Prodigy shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to Prodigy had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, and nothing more.
Remedies for Early Termination. If ATG terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then ATG shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to ATG had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, and nothing more.
Remedies for Early Termination. If Merrimack terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then Merrimack shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to Merrimack had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, as well as per-seat licensing fees (described below), and nothing more.
Remedies for Early Termination. The parties agree that should Group terminate this Agreement in violation of this Article IV, all monthly invoice amounts outstanding under this provision shall become immediately due and payable by Group upon notice from Benecard. Failure by the Group to pay all amounts due immediately under this provisionmay result in immediate suspension of all benefits and services until full payment is received. The partiesfurther agree that the existence of this remedy will not preclude Xxxxxxxx from seeking or receiving injunctive or other legal relief and that this Section does not give Group termination rights beyond thosespecified in this Agreement.
Remedies for Early Termination. If EMD terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then EMD shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to EMD had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, and nothing more.
Remedies for Early Termination. If InsITe terminates this Agreement or any Quote For Cause, or if you terminate any Services under a Quote without cause prior to such Quote’s expiration date, then InsITe shall be entitled to receive, and you hereby agree to pay to us, all amounts that would have been paid to InsITe had this Agreement or Quote (as applicable) remained in full effect, calculated using the fees and costs in effect as of the date of termination (“Termination Fee”). If you terminate this Agreement or a Quote For Cause, then you will be responsible for paying only for those Services that were delivered properly and accepted by you up to the effective date of termination, as well as per-seat licensing fees (described below), and nothing more.
Remedies for Early Termination. If Client terminates before the end of the Term for a reason other than PBM’s material breach under Section 12.3, PBM shall have the right to charge an early termination fee as set forth in Section 2 of Exhibit C. The existence of this right will not preclude PBM from seeking or receiving injunctive and/or other relief and does not give Client termination rights beyond those specified in this Article XII (Term and Termination).
