Common use of Repayment of Expenses Clause in Contracts

Repayment of Expenses. Indemnitee agrees that Indemnitee shall reimburse the Corporation for all reasonable expenses paid by the Corporation in defending any civil, criminal, administrative or investigative action, suit or proceeding against Indemnitee in the event and only to the extent that it shall be determined by final judgment or other final adjudication that Indemnitee is not entitled to be indemnified by the Corporation for such expenses under the provisions of the NRS or any applicable law.

Repayment of Expenses. Indemnitee agrees that Indemnitee shall will reimburse the Corporation Company for all reasonable fees and expenses paid by the Corporation Company in defending any civil, criminal, administrative civil or investigative criminal action, suit or proceeding against Indemnitee in the event if and only to the extent that it a final decision by a court having jurisdiction in the matter shall be determined by final judgment or other final adjudication determine that Indemnitee is not entitled to be indemnified by the Corporation Company for such fees and expenses under the provisions of the NRS Act, the Certificate, the Bylaws, this Agreement or any applicable lawotherwise.
