Replacement of Independent Engineer. Any appointment by the Administrative Agent of a replacement engineer to act as the "Independent Engineer" under the Financing Documents and the Project Documents shall be subject to the approval of the Borrower, such approval not to be unreasonably withheld or delayed.
Replacement of Independent Engineer. Company shall not replace the Independent Engineer without the Collateral Agent's prior consent and after giving due consideration to Contractor's opinion regarding the proposed replacement.
Replacement of Independent Engineer. In the event that the Independent Engineer Agreement is terminated in accordance with the terms of the Independent Engineer Agreement or the Independent Engineer is otherwise unable or unavailable to perform its duties under the Independent Engineer Agreement, PGCPS and Developer shall cooperate with one another in order to appoint, in accordance with this Section 10.1.6 (Replacement of Independent Engineer), a replacement consultant to act as the Independent Engineer as soon as reasonably practicable. The replacement Independent Engineer shall be competitively selected and agreed to by both PGCPS and Developer, acting reasonably, and shall possess qualifications required by Section 10.1.1 (Independence and Qualifications). In the event that PGCPS and Developer are unable to agree within twenty (20) Business Days of the previous Independent Engineer’s appointment expiring or being terminated, or within twenty (20) Business Days of the Independent Engineer’s inability to perform its duties under the Independent Engineer Agreement, the matter may be resolved in accordance with Article 24 (Resolution of Disputes). To the extent possible, PGCPS and Developer shall work with the Independent Engineer in order for such Independent Engineer to continue to fulfill its obligations under the Independent Engineer Agreement until a replacement Independent Engineer is appointed by PGCPS and Developer.

Notwithstanding anything to the contrary in this Section 17.06, if any provision in this Indenture specifically provides that the Trustee shall or may receive an Opinion of Counsel in connection with any action to be taken by the Trustee or the Company hereunder, the Trustee shall be entitled to such Opinion of Counsel.

  • REIT Opinion Parent shall have received a written opinion of Gxxxxxxxx Txxxxxx, LLP (or other counsel to Company reasonably acceptable to Parent), dated as of the Closing Date and in form and substance reasonably satisfactory to Parent, to the effect that, commencing with the Company’s taxable year ended December 31, 2009, the Company has been organized and operated in conformity with the requirements for qualification and taxation as a REIT under the Code and its actual method of operation has enabled the Company to meet, through the Effective Time, the requirements for qualification and taxation as a REIT under the Code. Such opinion will be subject to customary exceptions, assumptions and qualifications and based on customary representations contained in an officer’s certificate executed by the Company, provided that Parent is given a reasonable opportunity to review such representations and finds them reasonably acceptable.
