Reports by the Trust Preferred Guarantee Trustee. Within 60 days after May 1 of each year, the Trust Preferred Guarantee Trustee shall provide to the Holders of the Trust Preferred Securities such reports as are required by Section 313(a) of the Trust Indenture Act, if any, in the form and in the manner provided by Section 313 of the Trust Indenture Act. The Trust Preferred Guarantee Trustee shall also comply with the other requirements of Section 313 of the Trust Indenture Act.

Reports by the Trust Preferred Guarantee Trustee. (a) On or before July 15 in each year in which any of the Trust Preferred Securities are Outstanding, the Trust Preferred Guarantee Trustee shall transmit by mail, first class postage prepaid, to the Holders, as their names and addresses appear upon the Securities Register, a brief report dated as of the preceding May 15, if and to the extent required under Section 313(a) of the Trust Indenture Act, if applicable (it being understood that no such report shall be required if none of the events set forth in Section 313(a) of the Trust Indenture Act has occurred during the period to which such report would relate).

Reports so required to be transmitted at stated intervals of not more than 12 months shall be transmitted no later than April 15 in each calendar year with respect to the 12-month period ending on the previous February 15, commencing February 15, 2001.
