Representation of Consultant. Consultant hereby represents that there are no binding agreements to which the Consultant is a party or by which Consultant is bound, forbidding or restricting his/her activities herein. In addition, the Consultant consents to being named as a Consultant in various reports, brochures or other documents produced by or on behalf of Nano, including any and all documents filed with the Securities and Exchange Commission.
Representation of Consultant. Consultant represents and warrants that he is permitted to enter into this Agreement and that the terms of this Agreement are not inconsistent with and are not in violation of his other contractual obligations. The Corporation recognizes that Consultant's activities are and will be subject to the policies, rules and regulations of Yale University ("Institute Policy") and the Corporation agrees that Consultant shall be under no obligation to perform Services if such performance would conflict with Institute Policy. In the event of a conflict, Institute Policy shall control.
Representation of Consultant. The Consultant hereby represents and warrants to the Company that he has provided a copy of this Agreement to the CBR and the CBR has not objected to his entering into and performing this Agreement, that he will file a copy with Harvard in accordance with the Harvard Conflicts Policy and that the terms of this Agreement and the services contemplated hereunder do not conflict with any of the Consultant's current or anticipated obligations to, or with any of the policies, procedures or regulations of, Harvard or the CBR.
Representation of Consultant. CONSULTANT hereby represents that there is no binding agreement to which it is a party to, or by which it is bound, that would forbid or restrict its activities herein.
Representation of Consultant. Consultant represents and warrants that:
(a) Consultant has full power and authority to execute and deliver this Agreement, and to perform all of its obligations herein and this Agreement has been duly authorized and approved by Watley and is binding upon it in accordance with its termx.
(b) Consultant shall limit its representation about Watley to facts disclosed by Watley to Consultant, which xxx xxt required to be kept cxxxxxxntial.
Representation of Consultant. The CONSULTANT represents that the CONSULTANT and each of the personnel employed or otherwise retained by the CONSULTANT for Work under this Contract are properly certified and licensed under the laws and regulations of the State of California to provide the special services herein agreed to.
Representation of Consultant. Consultant represents and warrants to the Company that Consultant shall comply with all applicable provisions of law and other rules and regulations of any and all governmental authorities, including those relating to licensure or certification and the regulation of the provision of Consulting Services by Consultant pursuant to this Consulting Agreement. Any and all ideas of literary, artistic, or musical materials of Consultant which Consultant may use in provision of the Consulting Services will be original and will not contravene any common law or any statutory copyright, proprietary, or other right whatsoever. Consultant has not accepted nor agreed to accept, and will not solicit, receive, accept, or agree to accept, directly or indirectly, from any person, other than the Company, any money, service, or other valuable consideration for the inclusion of any matter as a part of these Consulting Services.
Representation of Consultant. Every person, before being awarded a contract in excess of ten thousand dollars ($10,000.00) with the city, shall represent that no other person has been retained to solicit or secure the contract with the city upon an agreement or understanding for a commission, percentage, brokerage or contingent fee, except for bona fide employees or bona fide established commercial, selling agencies maintained by the person so representing for the purpose of securing business.
Representation of Consultant. The Company acknowledges that the Escrow Agent has acted as the Consultant's counsel in connection with the Action, this Agreement and various other matters and hereby consents to the Escrow Agent representing the Consultant in any further matters, including, without limitation, proceedings arising out of any dispute under this Agreement, whether or not the Escrow Agent is in possession of the escrowed shares and continues to act as Escrow Agent hereunder. The parties also agree that the Escrow Agent may represent the Company in connection with the S-8 registration statement and waive any claim of conflict by reason thereof.
Representation of Consultant. The Consultant represents to the County that is has no conflict of interest in performing any of the services for a project with which it may have a conflict, it will disclose such conflict to the County. At the discretion of the County, the County may direct Consultant to refrain from entering into a contract with representatives of the conflicting project.
