Representations and Warranties in General. SELLER acknowledges that the execution of this Agreement by the COUNTY is made in material reliance by the COUNTY on each and every one of the representations and warranties made by SELLER in Section 6.02. The COUNTY acknowledges that the execution of this Agreement by SELLER is made in material reliance by the SELLER of each and every one of the representations and warranties made by COUNTY in Section 6.03. Such disclosures shall include but not be limited to information regarding present and future zoning and environmental matters affecting the Purchase Property, and regarding the condition of the Purchase Property, including, but not limited to, wetlands, structural, mechanical, and soils conditions, the presence and location of asbestos, PCB transformers, other toxic hazardous or contaminated substances, and underground storage tanks, in, on, or about the Purchase Property.

Representations and Warranties in General. Notwithstanding any right of any party hereto fully to investigate the affairs of any other party hereto and notwithstanding any Knowledge of facts determined or determinable by any party hereto pursuant to such investigation or right of investigation, each of AVTEAM and AVTEAM Sub, on the one hand, and the Seller and the Shareholders, on the other hand, has the right to rely fully upon the representations, warranties, covenants and agreements of the Purchaser or the Seller and the Shareholders, as the case may be, contained in this Agreement, or in any certificate delivered pursuant to any of the foregoing; provided, that no party hereto shall be entitled to rely on any representation or warranty made by any other party hereto to the extent that such party has Knowledge, and the other party or parties (or any of them) are not aware, that such representation or warranty is untrue or incorrect in any material respect.
