REPRESENTATIONS AND WARRANTIES OF BELDEN. Except as set forth in the disclosure schedule delivered by Belden to CDT prior to the execution and delivery by Belden of this Agreement (the "Xxxxxx Disclosure Schedule"), Belden represents and warrants to CDT as set forth below. Each exception set forth in the Xxxxxx Disclosure Schedule, and any other information included in the Xxxxxx Disclosure Schedule, is identified by reference to, or has been grouped under a heading referring to, a specific individual section or subsection of this Agreement and shall be deemed to be disclosed solely for purposes of such section or subsection, except to the extent that the relevance of a disclosure in one section or subsection of the Xxxxxx Disclosure Schedule to another section or subsection of the Xxxxxx Disclosure Schedule is reasonably apparent on its face. Inclusion of any information in the Xxxxxx Disclosure Schedule shall not be construed as an admission that such information is material to Belden or any of its Subsidiaries.
