Representations and Warranties of Peri & Sons. Peri & Sons hereby represents and warrants to CalVans that Peri & Sons owns and has good title to the Vehicles free and clear of any and all liens, encumbrances, pledges, security interests, claims, and liabilities, and that Peri & Sons has full power and authority to enter into this Agreement and to donate the Vehicles to CalVans. Peri & Sons hereby further represents and warrants to CalVans that there are no rental contracts, leases, or any other type of agreements of any kind with respect to or concerning the Vehicles that would preclude their donation to CalVans. Peri & Sons hereby further represents that the Vehicles are in legal and working condition.
