Representations by the Shareholder. (a) The Shareholder owns the Cancellation Shares of record and beneficially free and clear of all liens, claims, charges, security interests, and/or encumbrances of any kind whatsoever. The Shareholder has sole control over the Cancellation Shares and/or sole discretionary authority over any account in which they are held. Except for this Agreement, no person/entity has any option or right to purchase or otherwise acquire the Cancellation Shares, whether by contract of sale or otherwise, nor is there a “short position” as to the Cancellation Shares.
Representations by the Shareholder. (a) The Shareholder owns, of record and beneficially, and has good, valid and indefeasible title to and the right to transfer to Company pursuant to this Agreement, all of the Subject Shares, free and clear of any and all liens and encumbrances. There are no options, rights, voting trusts, shareholder agreements or any other contracts or understandings to which the Shareholder is a party or by which Shareholder or the Subject Shares are bound with respect to the issuance, sale, transfer, voting or registration of the Subject Shares.
Representations by the Shareholder. In order to provide documentation for reliance upon such exemptions, the approval by Solutions and the Shareholder of this Agreement and the transactions contemplated hereby shall constitute the parties' acceptance of, and concurrence in, the following representations and warranties:
