REPRESENTATIONS, WARRANTIES AND COVENANTS OF THE LESSEE. 7.1 The Lessee represents and warrants that it is a corporation duly organized, existing, and in good standing under the laws of the State of Texas and is duly qualified and in good standing in every other state where to nature of its properties or the conduct of its business requires such qualification, except where the failure to be so qualified would not have a material adverse effect on the Lessee's business or financial condition.
