Required Works. 2.1. GBHS and the County acknowledge and agree that the Required Works are necessary for the construction of the Markdale Hospital.
2.2. GBHS agrees that it shall commence and carry out the Shared Entrances Works and New Drainage Works on behalf of itself and the County, and that it shall commence and carry out the North Driveway Sign Works and the South Driveway Sign Works on its own behalf, provided that the County shall approve the final location of the North Driveway Sign and the South Driveway Sign in order to provide for adequate visibility for vehicle access to and from the Shared Entrances onto the adjacent public highway, such approval not to be unreasonably withheld.
2.3. The County shall provide to GBHS all such information as requested in writing by GBHS in connection with commencing, undertaking and completing the Required Works on a timely basis as well as execution of all such authorizations, applications or other documents required by GBHS in connection therewith and in connection with satisfying any conditions of any consent or approval received in connection therewith.
Required Works. Due to the need to rectify certain defects and non-compliance matters at one or more of the Properties as set forth on Schedule 6.3 attached hereto, Buyers shall receive a credit against the Purchase Price, which shall be allocated on a pro rata basis among the Buyers or as otherwise shown on the Closing Statement, in the amount of TWO MILLION EIGHT HUNDRED THOUSAND AND NO/100 DOLLARS ($2,800,000.00).
