Permitting The goal of this task is to obtain all permits required for work completed under this Agreement in advance of the date they are needed to maintain the approved Agreement schedule. Permit costs and the expenses associated with obtaining permits are not reimbursable under this Agreement. Permits must be identified in the Permit Status Letter and issued before the Recipient can expend grant funds to complete activities for which a permit is required. • Prepare a Permit Status Letter that documents the permits required to conduct this Agreement. If no permits are required at the start of this Agreement, the Recipient will document this in the Permit Status Letter. The Permit Status Letter must include the following information for all permits required during the course of the Agreement: o the type of permit; o the name, address, and telephone number of the permitting jurisdictions or lead agencies. o the schedule the Recipient will follow in applying for and obtaining each permit. • Submit a copy of any permits required for work completed under this Agreement, if requested by the CAM. • Notify the CAM if, during the course of the Agreement, permits are not applied for or obtained according to the schedule provided in the Permit Status Letter, or applications for permits are denied, in writing within 10 working days of the date exceeded or notification of the permit denial. Either of these events may trigger a Critical Project Review meeting. • Prepare for discussion of the Permit Status Letter including the schedule for obtaining each permit at the Kick-off meeting (Task 1.2), and a deadline for submitting a revised Permit Status Letter (if needed), and copies of permits obtained will be developed. The impact on the project if the permits are not obtained in a timely fashion or are denied will also be discussed. If applicable, permits will be included as a line item in progress reports and will be a topic at Critical Project Review meetings. • Provide the CAM with an Updated Permit Status Letter if, during the course of the Agreement, additional permits are identified as being necessary to complete tasks under this Agreement, including the appropriate information on each permit and schedule for acquiring permits. • Permit Status Letter including schedule for obtaining each permit. • Written notification of permit delay or denial, if applicable, within 10 working days of the date exceeded (pursuant to permit schedule date(s), notification of permit denial). • Updated Permit Status Letter (if applicable, including the appropriate information on each permit and schedule for acquiring permits). • A copy of any permits requested by XXX.
Requirement While an HNA is encouraged for all Municipalities, the Recipient must complete a HNA if it had a population of 30,000 or more on the 2021 Census of Canada and is a Single-Tier Municipality or a Lower-Tier Municipality.
Testimony If DST is required by a third party subpoena or otherwise, to produce documents, testify or provide other evidence regarding the Services, this Agreement or the operations of the Fund in any Action to which the Fund is a party or otherwise related to the Fund, the Fund shall reimburse DST for all costs and expenses, including the time of its professional staff at DST’s standard rates and the cost of legal representation, that DST reasonably incurs in connection therewith.
Mandate I / we acknowledge that all payment instructions issued by the Stratcol User shall be treated by my / our abovementioned bank as if the instructions had been issued by me / us personally.
Alteration This agreement may be altered only in writing signed by each party.
Material Changes Except as contemplated in the Prospectus, or disclosed in the Company’s reports filed with the Commission, there shall not have been any material adverse change in the authorized capital stock of the Company or any Material Adverse Effect or any development that would reasonably be expected to cause a Material Adverse Effect, or a downgrading in or withdrawal of the rating assigned to any of the Company’s securities (other than asset backed securities) by any rating organization or a public announcement by any rating organization that it has under surveillance or review its rating of any of the Company’s securities (other than asset backed securities), the effect of which, in the case of any such action by a rating organization described above, in the reasonable judgment of the Agent (without relieving the Company of any obligation or liability it may otherwise have), is so material as to make it impracticable or inadvisable to proceed with the offering of the Placement Shares on the terms and in the manner contemplated in the Prospectus.
No Alteration Not alter, modify or in any manner change the (1) elevation and exterior colour scheme of the said Apartment and the building and (2) design and/or the colour scheme of the windows, grills and the main door of the said Apartment.
Principle The Network User who has to provide a collateral pursuant to: (i) Article 14.1.1 of this attachment must, five (5) Business Days before the Services Start Date, or latest prior to the start of the Services for Services with a duration less than thirty (30) days, submit a collateral in the form of a cash deposit in accordance with Article 14.2.3(i) or in the form of a Bank Guarantee in accordance with Article 14.2.3(ii); and (ii) Article 14.1.2 of this Attachment must submit a collateral ten (10) Business Days after the Network User was informed by the TSO.
Decision Making The Joint Development Committee and Joint Commercialization Committee shall each act by unanimous agreement of its members, with each Party having one vote. If the Joint Development Committee or Joint Commercialization Committee, after [* * *] (or such other period as the Parties may otherwise agree) of good faith efforts to reach a unanimous decision on an issue, fails to reach such a unanimous decision, then either Party may refer such issue to the Executive Officers. Such Executive Officers shall meet promptly thereafter and shall negotiate in good faith to resolve the issues. If Executive Officers cannot resolve such issue within [* * *] of referral of such issue to the Executive Officers, the resolution of such issue shall be as follows: (a) if such issue properly originated at the Joint Development Committee, determined by the Developing Party of the relevant Licensed Compound or Licensed Product at issue; provided that, notwithstanding the foregoing: (i) if Acceleron is the Developing Party and such issue relates to (x) the approval of an Additional Development Disease, or (y) matters under Section 5.6.3(d), then such issue shall be determined by [* * *]; (ii) regardless of which Party is the Developing Party, such issue shall be determined by [* * *] following the earliest of: (x) [* * *], and (y) the Joint Development Committee’s decision to go forward with a Phase 3 Clinical Trial of the relevant Licensed Compound or Licensed Product; provided that [* * *] shall continue to determine any issues that relate to the budget for and the conduct of the [* * *]; and (iii) regardless of which Party is the Developing Party, such issue shall be determined by [* * *] following the earliest of: (x) [* * *], and (y) the occurrence of any [* * *]; and (b) if such issue properly originated at the Joint Commercialization Committee, determined by Celgene.
