Response to Notice of Cause. On or prior to the date specified in the Notice of Cause for a response, SPONSOR shall deliver to AUTHORIZER a written response (the “Response to Notice of Cause”) that provides (i) a detailed response to the grounds and circumstances that formed the basis of the Notice of Cause; (ii) a proposal for curing the grounds and circumstances that formed the basis of the Notice of Cause;
