Responsibilities of the Borrowers. (a) Anything herein to the contrary notwithstanding, each Borrower shall: (i) perform all of its obligations, if any, under the Contracts related to the Pool Receivables, and the exercise by the Administrator, any Group Agent or any Lender of their respective rights hereunder shall not relieve any Borrower from such obligations, and (ii) pay when due any taxes, including any sales taxes payable in connection with the Pool Receivables and their creation and satisfaction. None of the Administrator, the Group Agents or the Lenders shall have any obligation or liability with respect to any Pool Asset, nor shall any of them be obligated to perform any of the obligations of any Borrower, any Servicer, CB or any Originators thereunder.

None of the Credit Parties shall have any obligation or liability with respect to any Collateral, nor shall any of them be obligated to perform any of the obligations of any Xxxxx Party thereunder.

The Company shall also use the Platform or SWIFT for handling reductions, extend or pay requests and claims. The Borrowers (or the Company on their behalf) shall provide or shall load currency exchange rates to the Electronic Platform immediately prior to the date on which a Report is prepared representing the Spot Rate of Exchange of that day. Electronic communication received through the Platform or via SWIFT the Borrowers will accept as original communication without paper confirmation to follow.

  • Duties and Responsibilities of the Servicer (a) The Servicer shall conduct the servicing, administration and collection of the Transferred Loans and shall take, or cause to be taken, all such actions as may be necessary or advisable to service, administer and collect Transferred Loans from time to time on behalf of the Borrower and as the Borrower’s agent.
