Common use of Responsibility for Employees and Expenses Clause in Contracts

Responsibility for Employees and Expenses. Licensees shall employ two full time employees at the main studio(s) of the Stations, one of whom shall be a manager, both of whom shall report to and be accountable to Licensees, and who shall be ultimately responsible for the day-to-day operation of the Stations. Licensees shall be directly responsible for paying the salaries, taxes, insurance and related costs for such employees (the "Licensees Employee Expenses"). Licensees shall be responsible for paying directly (i) transmitter site rent/mortgage for the Stations; (ii) costs for maintenance and repair of the transmission and other technical equipment; (iii) costs for capital improvements and replacements; and (iv) transmitter site utilities for the Stations ("Licensees Transmitter Expenses"). Licensees shall be responsible for paying directly all income taxes relating to Licensees' earnings from this arrangement. Broker shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative and programming staff). Excluding those expenses for which Licensees are making payments as set forth in this Section 11, during the Term, Broker shall be responsible for paying all other expenses reasonably and directly related to the continued operation of the Stations subject to the covenants of the parties to this Agreement (the "Other Expenses"), and further subject to the ultimate authority, control and power of Licensees.

Broker shall employ and be responsible for the salaries, taxes, insurance and related costs in accordance with Brokers employment practices for all personnel used by it, excluding Licensee's two full time employees, in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative and programming staff) for Broker's use of the studio and for routine maintenance and repair thereto (as opposed to maintenance and repair of the transmission and other technical equipment and capital improvements and replacements which shall be Licensee's responsibility). Excluding those expenses for which Licensees are Licensee is making payments as set forth in this Section 11, during the Term, Broker shall be responsible for paying all other expenses reasonably and directly related to the continued operation of the Stations subject to the covenants of the parties to this Agreement (the "Other Expenses"), and further subject to the ultimate authority, control and power of LicenseesLicensee.

Licensees Licensee shall be directly responsible for paying the salaries, taxes, insurance and related costs for such employees (the "Licensees Licensee Employee Expenses"). Licensees Licensee shall be responsible for paying directly (i) transmitter site rent/mortgage for the Stations; (ii) costs for maintenance and repair of the transmission and other technical equipment; (iii) costs for capital improvements and replacements; and (iv) transmitter site utilities for the Stations ("Licensees Licensee Transmitter Expenses"). Licensees Licensee shall be responsible for paying directly all income taxes relating to Licensees' Licensee's earnings from this arrangement. Broker shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative and programming staff) for Broker's use of the studio and for routine maintenance and repair thereto (as opposed to maintenance and repair of the transmission and other technical equipment and capital improvements and replacements which shall be Licensee's responsibility). Excluding those expenses for which Licensees are Licensee is making payments as set forth in this Section 11, during the Term, Broker shall be responsible for paying all other expenses reasonably and directly related to the continued operation of the Stations subject to the covenants of the parties to this Agreement (the "Other Expenses"), and further subject to the ultimate authority, control and power of LicenseesLicensee.

Licensees WBG shall also be entitled to retain in its employ all employees of the Stations which it deems advisable, and Programmer shall not employ or seek to employ any of such employees without WBG's express written consent. WBG shall be directly responsible for paying the salaries, payroll taxes, health insurance and other employment related costs for such employees (the "Licensees Employee Expenses"). Licensees shall be responsible for paying directly (i) transmitter site rent/mortgage for all personnel employed by WBG with respect to the Stations; (ii) , and Programmer shall compensate WBG on a dollar-for-dollar basis for all such costs for maintenance and repair expenses. Effective the date of the transmission and other technical equipment; (iii) costs for capital improvements and replacements; and (iv) transmitter site utilities for the Stations ("Licensees Transmitter Expenses"). Licensees shall be responsible for paying directly all income taxes relating to Licensees' earnings from this arrangement. Broker Agreement, Programmer shall employ and be responsible for the salariesall personnel, taxes, insurance equipment and related costs for all personnel facilities used in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative personnel and programming staff), except for those personnel whom WBG elects to employ and who shall be covered by the immediately preceding sentence. Excluding those expenses for which Licensees are making payments as set forth All Programmer personnel shall be subject to the supervision and the direction of Licensee's designated personnel in this Section 11, during connection with the Term, Broker performance of their duties at the Station. WBG shall be responsible for paying all other expenses reasonably and directly of Licensee related to the continued operation of the Stations subject to and the covenants Licensee Station Facilities and the Stations' equipment, and Programmer shall compensate WBG, on a dollar-for- dollar basis, for all such expenses, including without limitation, all amounts becoming due and payable under any and all Programming Contracts during or in respect of the parties period coinciding with the term of this Agreement. Licensee shall also be responsible for income taxes relating to Licensee's earnings from this Agreement (arrangement. Programmer shall pay promptly when due all copyright fees attributable to Programming broadcast on the "Other Expenses"), and further subject to Station during the ultimate authority, control and power term of Licenseesthis Agreement.

Licensees Licensee shall be responsible for paying directly all income taxes relating to Licensees' Licensee's earnings from this arrangement. Broker shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative and programming staff), for Broker's use of the studios and offices (including rent and utilities therefor), and for routine maintenance and repair thereto (as opposed to maintenance and repair of the transmission and other technical equipment and capital improvements and replacements which shall be Licensee's responsibility). Excluding those expenses for which Licensees are Licensee is making payments as set forth in this Section 11Agreement, during the Term, Term Broker shall be responsible for paying all other expenses reasonably and directly related to the continued operation of the Stations subject to the covenants of the parties to this Agreement (the "Other Expenses"), and further subject to the ultimate authority, control and power of LicenseesLicensee.
