Programmer shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming.

Programmer's Responsibility for Employees and Expenses. Programmer shall furnish or cause to be furnished the artistic personnel and material for the production of the Programming to be provided under this LMA. Programmer shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming (including salespeople, traffic personnel, and programming staff). Programmer shall pay for all telephone calls associated with program production and listener responses, for all fees to ASCAP, BMI and SESAC, for any other copyright fees, and for all costs or expenses attributable to the Programming that is broadcast on the Station.

Programmer shall maintain at its expense commercially reasonable coverage for broadcaster’s liability insurance, worker’s compensation insurance and commercial general liability insurance with reputable insurance companies for operation of the Station, in amounts reasonably acceptable to Licensee. Licensee shall be named as an additional insured on such policies, and such policies shall not be terminable without notice to Licensee and an opportunity to cure any default thereunder. Programmer shall deliver to Licensee upon request a current certificate establishing that such insurance is in effect. Programmer's Responsibility for Employees and Expenses. Programmer shall employ and be solely responsible for the salaries, taxes, insurance and related costs for all personnel used in Programmer’s sale of commercial advertising time and the production of Programmer’s programming (including salespeople, traffic personnel, board operators and programming staff). Whenever on the Station’s premises, all employees of Programmer shall be subject to the overall supervision of Owner’s General Manager.

The Company hereby acknowledges that the only information that the Underwriters has furnished to the Company expressly for use in the Registration Statement, Time of Sale Prospectus, any free writing prospectus that the Company has filed, or is required to file, pursuant to Rule 430B or Rule 433(d) of the Securities Act, the Preliminary Prospectus or the Prospectus (or any amendment or supplement thereto) are the statements set forth in the third and ninth paragraphs under the caption “Underwriting” in the Prospectus. The indemnity agreement set forth in this Section 9(b) shall be in addition to any liabilities that the Underwriters may otherwise have.
