Licensee's Responsibility for Employees and Expenses. (a) Licensee will employ a full-time management-level employee for the Stations (the "General Manager"), who shall report and be solely accountable to Licensee and shall be responsible for overseeing the operations of the Stations, and a staff-level employee, who shall report to and assist the General Manager in the performance of his or her duties. Licensee shall also retain a qualified Chief Operator, as that term is defined in the Communications Laws, for the Stations. The Chief Operator shall have the duties and responsibilities of a "Chief Operator" under the Communications Laws.

Licensee's Responsibility for Employees and Expenses. Licensee will provide the Station's station manager and chief operator/operations manager, who shall each report and be accountable solely to Licensee, and will be responsible for the salaries, taxes, insurance, utilities, maintenance expenses and related costs for such Station personnel, and all equipment and facilities used in the broadcast transmission of the Programming. Licensee shall also provide board operators or automated operations for the insertion into the Programming of (i) Licensee's station identification announcement required by the FCC's rules, and (ii) Programmer's commercial announcements. Programmer shall provide to Licensee audio cassettes of the commercial announcements and a log of air times. Whenever on the Station's premises, all personnel shall be subject to the supervision and the direction of the Station's station managers and/or the Station's chief operators. Licensee shall be responsible for all music performance licenses from ASCAP, BMI, SESAC and any other copyright licenses as are required for the presentation of any program ming of the Station not provided by Programmer.

Whenever at the Main Studio or otherwise on the Stations' premises, all of Programmer's personnel shall be subject to the supervision and the direction of the Stations' General Manager and/or the Stations' Chief Operator.
Licensee's Responsibility for Employees and Expenses. Licensee will employ at least two persons at the Station: a full-time management-level employee (who may or may not also be the designated Chief Operator), who shall report and be solely accountable to Licensee and shall direct Licensee’s day-to-day operations of the Station, and a staff-level employee who shall report to and assist the management-level employee in the performance of his or her duties. Licensee will be responsible for payment of the salaries, benefits, taxes, insurance and similar expenses for these two employees, which payment shall be reimbursed by Programmer. Whenever at the Main Studio or otherwise on the premises of the Station, all of Programmer’s personnel shall be subject to the supervision and the direction of the Licensee’s employees, as designated by Licensee. Licensee shall be responsible for the timely payment of the following expenses: all capital expenses for the Station other than those relating to maintenance and repair of the studio and daytime transmitter site, any expenses due to casualty pursuant to Section 10, and all expenses that do not relate to the Station as currently operated, including but not limited to expenses for any transmitter sites other than the current daytime transmitter site. In addition, subject to reimbursement by Programmer pursuant to Schedule 1.3, Licensee shall be responsible for the timely payment of all costs and expenses related to the continued operation of the Station which are not paid directly by Programmer, including FCC regulatory and other fees, lease and/or mortgage payments for the Main Studio, and daytime transmitter site, real estate and personal property taxes; rent and utility costs (telephone, electricity, etc.) relating to the Main Studio, existing daytime transmitting site, transmitter and antennas, and Licensee’s expenses under ASCAP, SESAC and BMI licenses, as required by such organizations; (e) maintenance and repair costs with respect to the transmitting equipment of the Station at the Main Studio or the daytime transmitter site; and (f) all other reasonable and necessary payments related to the continued operation of the Station as it presently operates incurred by Licensee which are not paid directly by Programmer.
Licensee's Responsibility for Employees and Expenses. (a) As set forth in the RASA TBA, RASA shall employ a full-time managerial-level employee for the Station, who shall report and be solely accountable to RASA and shall be responsible for overseeing the operations of the Station generally, and a full-time staff-level employee, who shall report to and assist the manager in the performance of his and her duties. RASA will be responsible for the salaries, taxes, insurance and related costs for its personnel. Whenever on the Station's premises, all of Programmer's personnel shall be subject to the supervision and the direction of the Station's General Manager and/or the Station's Chief Operator.

Related to Licensee's Responsibility for Employees and Expenses

  • Indemnification of Employees and Agents The Company may indemnify and advance expenses to any person who was or is made or is threatened to be made or is otherwise involved in any Proceeding by reason of the fact that such person, or a person for whom such person is the legal representative, is or was an employee or agent of the Company or, while an employee or agent of the Company, is or was serving at the request of the Company as a director, officer, trustee, manager, employee or agent of another corporation or of a partnership, joint venture, limited liability company, trust, enterprise, nonprofit entity or other entity of any type, including service with respect to any employee benefit plan, against all liability and loss suffered and expenses (including attorneys’ fees) reasonably incurred by such person in connection with such Proceeding. The ultimate determination of entitlement to indemnification of persons who are non-officer employees or agents shall be made in such manner as is determined by the Member in its sole discretion. Notwithstanding the foregoing sentence, the Company shall not be required to indemnify a person described therein in connection with a Proceeding initiated by or on behalf of such person if the Proceeding was not authorized in advance by the Member.

  • Responsibility for Information Recipients The Asset Representations Reviewer will be responsible for a breach of this Section 4.9 by its Information Recipients.

  • Responsibility of Dual Directors, Officers and/or Employees If any person who is a manager, partner, officer or employee of the Adviser or the Administrator is or becomes a director, officer and/or employee of the Company and acts as such in any business of the Company, then such manager, partner, officer and/or employee of the Adviser or the Administrator shall be deemed to be acting in such capacity solely for the Company, and not as a manager, partner, officer or employee of the Adviser or the Administrator or under the control or direction of the Adviser or the Administrator, even if paid by the Adviser or the Administrator.

  • Responsibility for Expenses Vanguard will provide, at its own expense, the office space, furnishings and equipment and the personnel required by it to perform its responsibilities under this Agreement.

  • Compensation of Trustees, Officers and Employees No Trustee, officer or employee of the Trust or the Fund shall receive from the Trust or the Fund any salary or other compensation as such Trustee, officer or employee while he is at the same time a director, officer, or employee of the Subadviser or any affiliated company of the Subadviser, except as the Board may decide.   • Employees and Agents The Agent may exercise its powers and execute its duties by or through employees or agents and shall be entitled to take, and to rely on, advice of counsel concerning all matters pertaining to its rights and duties under this Agreement and the other Loan Documents. The Agent may utilize the services of such Persons as the Agent may reasonably determine, and all reasonable fees and expenses of any such Persons shall be paid by the Borrower.

  • Responsibility for Costs The Servicer is responsible for collection from such Borrower of any recording or similar costs or expenses incidental to the granting of relief with respect to a delinquent Mortgage Loan.

  • Duties and Responsibilities of Executive During the Employment Period, Executive shall devote his full working time to (a) the business of the Company and its Affiliates and (b) performance of the duties and responsibilities assigned to Executive to the best of Executive’s ability and with reasonable diligence.
