Responsibility for Performance of Contract. The Supplier shall be entirely responsible for the performance of the contract in all respects in accordance with the terms and conditions as specified in the Contract. The Supplier shall not sublet, transfer or assign the contract without the written permission of the Purchaser. In case permission is given by the purchaser, Supplier shall be liable to any loss or damage which the Purchaser may sustain in consequence or arising out of such subletting of the contract.

Responsibility for Performance of Contract. If this Agreement is not performed, all costs incurred in connection with this Agreement and the costs of any transactions made hereunder shall be borne by the contracting party responsible for the default or, in the event of shared responsibility, in an amount determined according to the extent of the responsibility for the default of either party. Notwithstanding the previous paragraph of this article, the parties agree that if the Seller is responsible for non-fulfilment of the Agreement before the expiry of the contractual period for the handover of the subject of the Agreement, the Buyer shall be entitled to reimbursement of all payments already made to the Seller under this Agreement. Notwithstanding the first paragraph of this article, the parties agree that if the Buyer is responsible for non-fulfilment of the Agreement before the expiry of the contractual period for the handover of the subject of the Agreement, the Buyer shall be entitled to reimbursement of all payments already made to the Seller under this Agreement, less the amount of the lump-sum down payment. Furthermore, the contracting parties agree that, in accordance with the provisions of this Agreement and all independent actions (interventions, changes), the Buyer shall have no right to any claims or reimbursement of investment costs or potential costs relating to the completion or legalisation of the subject of the Agreement for all past or future investments in the event of termination or invalidity of this Agreement and all associated appendices.

  • Responsibility for Performance Participation in state Centralized Contracts by Authorized Users is permitted upon the following conditions: (i) the responsibility with regard to performance of any contractual obligation, covenant, condition or term thereunder by any Authorized User other than State Agencies shall be borne and is expressly assumed by such Authorized User and not by the State; (ii) a breach of the Contract by any particular Authorized User shall neither constitute nor be deemed a breach of the Contract as a whole which shall remain in full force and effect, and shall not affect the validity of the Contract nor the obligations of the Contractor thereunder respecting non-breaching Authorized Users, whether State or otherwise; (iii) for a breach by an Authorized User other than a State Agency, the State specifically and expressly disclaims any and all liability for such breach; and (iv) each non-state agency Authorized User and Contractor guarantees to save the State, its officers, agents and employees harmless from any liability that may be or is imposed by their failure to perform in accordance with its obligations under the Contract.

If based in part upon the negligent acts or omissions of the TIPS, TIPS Member(s), officers, employees, or agents, Vendor shall be responsible for their proportional share of the claim. State of Texas Franchise Tax By signature hereon, the bidder hereby certifies that he/she is not currently delinquent in the payment of any franchise taxes owed the State of Texas under Chapter 171, Tax Code.

Attorney’s Fees--Texas Local Government Code § 271.159 is expressly referenced. Pursuant to §271.159, TEXAS LOC. GOV’T CODE, in the event that any one of the Parties is required to obtain the services of an attorney to enforce this Agreement, the prevailing party, in addition to other remedies available, shall be entitled to recover reasonable attorney’s fees and costs of court.

  • Security for Performance In the event that Exhibit A Section 4 indicates the need for Consultant to provide additional security for performance of its duties under this Agreement, Consultant shall provide such additional security prior to commencement of its Required Services in the form and on the terms prescribed on Exhibit A, or as otherwise prescribed by the City Attorney.

  • Consideration for Performance The consideration to be paid to the Contractor under this Agreement will be compensation for all the Contractor’s expenses incurred in the performance of this Agreement, unless otherwise expressly provided.

  • Responsibility for Evaluation Within each school the Principal will be responsible for the evaluation of employees assigned to that school. Evaluation will be made by the Principal or a qualified administrator. An employee assigned to more than one school will be evaluated by the Principal of the school in which the employee is assigned for the greater amount of time, with input provided by the Principal of the other school. Any Principal or person charged with the responsibility of evaluation of employees may involve other staff and students in the process if acceptable to the certificated teacher being evaluated.
