Restoration by PDC. In the event of a Condemnation occurring during 21 the Term involving less than a Substantial Portion of the Coliseum, or should neither Party elect 22 to terminate this Agreement pursuant to Section 12.1, this Agreement shall remain in full force 23 and effect, subject to the provisions of Section 12.4, and the City shall Restore the Coliseum, to 24 the extent practicable, to a condition, character, and nature substantially equivalent to those 25 existing immediately prior to such Condemnation. Any such Restoration shall be performed in 26 accordance with the provisions of Section 11. Any award with respect to such Condemnation 27 shall be paid to the City. If any portion of the Condemnation award is remaining upon 28 completion of the Restoration, such portion shall be retained by the City. In the event the 29 Condemnation award is insufficient to cover the cost of the Restoration, all remaining funds in 30 the Budget Amount shall be applied to the deficiency. If a deficiency remains after application 1 of these funds, then either (i) the City may elect to advance the deficiency (in which event it may 2 later recover the advance, with interest at the Prime Rate plus two (2) percentage points, from 3 amounts otherwise payable in the future into the Budget Amount; or (ii) the City may terminate 4 this Agreement and cease use of the Coliseum as a Spectator Facility. If the City notifies PDC of 5 its election to trigger option (ii), PDC may instead advance the deficiency, in which event this 6 Agreement shall remain in effect and PDC shall be entitled to recover the advance, with interest 7 at the Prime Rate plus two (2) percentage points, from amounts otherwise payable in the future 8 into the Budget Amount. The City shall retain the proceeds, if any, payable under the coverage 9 described in Section 10.2.2 with respect to the Condemnation.

  • Termination by ICANN (a) ICANN may, upon notice to Registry Operator, terminate this Agreement if: (i) Registry Operator fails to cure (A) any fundamental and material breach of Registry Operator’s representations and warranties set forth in Article 1 or covenants set forth in Article 2, or (B) any breach of Registry Operator’s payment obligations set forth in Article 6 of this Agreement, each within thirty (30) calendar days after ICANN gives Registry Operator notice of such breach, which notice will include with specificity the details of the alleged breach, (ii) an arbitrator or court of competent jurisdiction has finally determined that Registry Operator is in fundamental and material breach of such covenant(s) or in breach of its payment obligations, and (iii) Registry Operator fails to comply with such determination and cure such breach within ten (10) calendar days or such other time period as may be determined by the arbitrator or court of competent jurisdiction.

  • TERMINATION BY MPS MPS further reserves the right to terminate this Contract at any time for any reason by giving Contractor written notice by Registered or Certified Mail of such termination. MPS will attempt to give Contractor 20 days’ notice, but reserves the right to give immediate notice.
